Those in financial due diligence at PwC will focus on providing strategic advice and business diligence services to clients in their mergers, acquisitions and divestitures. You will be responsible for analysing financial information focusing on quality of earnings and assets, cash flows and other key client deal issues.

Primary responsibilities of the role:
Mergers & Acquisitions: Guide clients on key concepts and strategies for M&A engagements (pre-deal, sign to close and post deal) including but not limited to IT due diligence, carve-outs / divestitures, Day 1/Day 2 planning, business continuity planning, integration and separation planning, synergy identification / capture, value creation, testing and system cutovers. You should have a basic to moderate level of understanding for the following M&A scenarios:
▪Conduct IT Due diligence for pre-deal and post-deal scenarios such as mergers, acquisitions, and carve-outs. This includes:
▪Evaluating the IT landscape to identify areas of synergies and dis-synergies.
▪Comprehending the business's IT transformation vision and identifying areas of technical inefficiencies
▪Proposing recommendations on the target IT landscape, where relevant
▪Identifying IT related opportunities and risks and formulating strategies to mitigate them.
▪IT spend analysis (including vendor contract reviews for any hidden transactional costs), provide recommendations on cost efficiencies.
▪Perform IT Benchmarking for key performance indicators by utilizing information from previous project experience and research databases.
▪Provide support for IT integration and separation in post-deal activities, which includes:
▪Program/Integration/Transformation management office planning & readiness.
▪Day 1 / 100 Readiness planning
▪Vendor evaluation and selection
▪Bid formulation and vendor management.
▪Digital and Technology Transformation: Advise large, complex transformation engagements by identifying, designing, and implementing creative business and technology solutions for large companies. Candidates are required to have experience in:
▪Planning and implementing IT integration, separation, and transformation projects in deals.
▪Projects involving advisory / PMO support for enterprise systems such as ERP (SAP), CRM, Big Data etc. including integration of enterprise applications.
▪Providing basic subject matter expertise across all or most of the following critical components of IT landscape:
▪Application Development (experience across SDLC)
▪Enterprise Architecture
▪Infrastructure (Servers, Storage, Network, End User Computing)
▪Data Center and backup/DR
▪Security and Access Management (Cybersecurity Services, Enterprise Directory)
▪IT Financials in M&A and Transformation Scenarios (IT Opex/Capex Cost Modeling)
