Assistant Company Secretary (Subsidiaries)

We are seeking a talented individual to join our Corporate Secretariat team at Marsh McLennan (MMC) on a fixed term contract.  This is a hybrid role that has a requirement of working at least three days a week in the office.  As a progressive employer, MMC Pacific acknowledges the role may be situated in or near any capital city in Australia. 

The Corporate Secretariat (Pacific) team comprises seven governance professionals, including this role.  Together, they deliver a range of company secretarial services for boards across the MMC Pacific region for Mercer, Marsh, Guy Carpenter and Oliver Wyman, in Australia, New Zealand, Papua New Guinea and Fiji.  The team assumes responsibility for all corporate governance processes and provides advice on relevant corporate governance and prudential topics. The Corporate Secretariat (Pacific) team are a key interface with Directors, the People Leadership Team, and other senior leaders within the MMC Pacific business. 

Reporting to the Corporate Secretary, Pacific, the Assistant Company Secretary (Subsidiaries) is a key member of the Marsh McLennan (MMC) Corporate Secretariat (Pacific) team and is responsible for the proper functioning of a number of subsidiaries within the MMC group in the Pacific (Australia, Fiji, Papua New Guinea and New Zealand). Several of the subsidiaries hold Australian Financial Services Licenses (AFSL). 

The Assistant Company Secretary (Subsidiaries) is a governance leader within the team with overall corporate administration accountability for all MMC Pacific subsidiaries excluding Mercer Investments (Australia) Limited and Mercer Superannuation (Australia) Limited.  The role actively manages a busy schedule of meetings, takes responsibility for maintaining statutory registers, submits all corporate-related ASIC lodgments (eg. 484, 388) and facilitates periodic corporate activities (such as the facilitation of approvals for statutory accounts and solvency resolutions).  In a fast-paced, dynamic environment, this role provides corporate governance support to enable Directors to discharge their duties effectively and maintains the legal good standing of our entities. 

This is a mid-level position within a busy and complex secretariat, providing support to the Corporate Secretary (Pacific), Directors and Executive Group members.

What you need to have:

Bachelor of Laws or related Bachelor qualifications in a legal / business discipline. Member of the Governance Institute of AustraliaRecent experience as an assistant company secretary or company secretary, preferably in a financial services firm. Corporations law, ASIC Regulations, and meeting administration experience.Technical acumen and proactive, continuous improvement attitude.A flexible and agile work style, an ability to adapt to changing circumstances and effectively manage numerous competing priorities.
