The Assistant General Counsel’s primary areas of focus are securities, corporate governance, M&A transactions, and general corporate matters. The Assistant General Counsel reports to the Senior Corporate Counsel/Corporate Secretary, who reports directly to the General Counsel.
What you'll do:
Manage the preparation of SEC reports, including Forms 10-K, 10-Q, 8-K, and SD, proxy statements, and Section 16 reports.Assist with corporate governance matters, including supporting management and the Corporate Secretary in preparing for Board and committee meetings, researching and advising on corporate governance best practices, and monitoring compliance with SEC rules and NYSE listing standards.Provide legal support for M&A transactions, including working with members of the Business Development group on deal structure, due diligence, drafting and negotiating agreements, and managing deal process and execution.Provide legal support to acquired companies and other departments within the company, including contract review and implementation of policies and controls.Assist with entity management and other matters as needed.Provide timely and practical legal advice to the company’s business leaders.Develop and maintain strong partnerships with management and other internal stakeholders to influence decision making and achieve successful business outcomes.What you'll need:
Law degree from an accredited law school in the United StatesMinimum of three years experience advising on securities and/or M&A issues with a reputable law firmStrong work ethic and high ethical standardsStrong written and verbal communication skills, highly organized, and attention to detailAbility to identify key legal risks and structure business solutions to address those legal risksAbility to handle multiple projects at one time and to work both independently and in cross-functional teamsOur Benefits & Perks:
