Assistant General Counsel – Investments

As Assistant General Counsel – Investments supporting Ecolab’s Global Investments and Corporate legal practices you will advance strategic growth and shareholder value in a diverse Fortune 500 company. We are seeking someone who is highly motivated and successful with a business focus and excellent academic and law firm credentials to support our growing global investment practice. You will combine value-added legal services with corporate development transactional execution leadership to partner with the Vice President Growth Ventures to advise and process transactional aspects of investments. You will provide timely and effective counsel, working both independently and as part of a highly collaborative and very international team, in a fast-paced environment. You will work with various members of Ecolab’s Law Department, Corporate Development team and other cross-functional groups (e.g., Finance, Tax, R&D, Regulatory, HR, Supply Chain), as well as business leaders on a world-wide basis.

This position will have matrix reporting to the Deputy General Counsel – M&A and Strategic Transactions and the EVP Corporate and Business Development.  This position is located at our Corporate Headquarters office in Saint Paul, Minnesota. Associates at our corporate office locations are working in a hybrid environment with at least 60% of your time in the office.

What You Will Do:

Serve as transaction advisor to VP Growth Ventures including guidance on customary  terms and conditions and tailored, situational risk-based analysisInterface with Corporate Development for financial analysis and investment approval processProvide legal support for all aspects of strategic investments: handle legal due diligence, negotiate and prepare confidentiality agreements, term sheets, and definitive agreementsAdvise management on attendant legal risks of investment and on-going investment portfolio administrationWhen needed, direct and coordinate outside legal counsel and ensure competent and cost-effective representation of the company domestically and internationally

Minimum Qualifications:

Undergraduate bachelor’s degree in business field (finance, accounting, economics or similar)JD degree or equivalent from an accredited universityAdmission to the Bar in at least one state, preferably Minnesota (or qualify to waive in)4-6 years of legal experience in corporate and commercial transactional matters, specifically including M&A or investment work at a reputable law firm with a substantial corporate and securities practice


Preferred Qualifications:

MBA or equivalent from an accredited university in addition to JD2-3 years of experience in an investments related role including venture capital transactions, private equity funds, accelerator programs and minority investments, particularly for start-ups and early-stage growth, innovation and/or sustainability playsExperience at a private equity or venture capital firm, investment banking firm, corporate development group or similar business or finance roleBroad-based transactional experience representing variety of public and private companies, private equity firms, family businesses, entrepreneurs and others in a wide range of businesses and industries, in buy and sell-side transactions, joint ventures, securities issuances, finance, debt offerings and restructurings, as well as commercial transactions, corporate governance and related matters Experience in transactional intellectual property matters, including technology transfers, licensing, joint development agreements and similar arrangements Experience in cross-border transactions, representing international clients, foreign language proficiency and/or overseas assignment or extended stay
