Job Title: Assistant General Counsel – Strategic Deals

Job location: Various Cities (Hybrid)

Job description:

Capgemini America has an immediate opening in its Strategic Deals Legal Team for an in-house attorney with 7 years of relevant legal experience. To be successful in this role, you should have experience handling complex IT and technology-related transactions in a leading law firm and in-house legal department. You will be directly involved in the structuring and negotiation of complex transactions and will be expected to work directly with client teams and senior business leaders. The candidate will work primarily in a hybrid model. Preferred locations for this position include Atlanta, Chicago, Houston, or Dallas areas.

Key Responsibilities:

• Structure, draft, negotiate and manage legal aspects of large and strategic transactions.

• Negotiate and draft services agreements, outsourcing agreements, SLAs, software licenses, alliance agreements, and other commercial agreements.

• Expertise with complex legal issues involving intellectual property, privacy, cybersecurity and technology.

• Excellent legal and interpersonal skills, the ability to manage multiple tasks (prioritizing as necessary), have a strong work ethic and have excellent communication and organizational skills

Required Skills:

• 7 years of relevant legal experience, ideally with a combination of law firm training and at least one in-house role.

•Demonstrated experience with contract drafting and legal negotiation of large technology-related transactions.

• Strong familiarity with drafting and negotiating complex intellectual property, licensing, warranty, indemnity, and liability clauses.

•Excellent written and verbal communication skills with attention to detail.

•Demonstrated ability to manage and prioritize multiple projects, and to effectively communicate legal issues and policies to senior management.
