Assistant General Counsel

Responsibilities:

Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and registration statements and other SEC and exchange compliance matters

Lead the planning and project team for the annual meeting of stockholders

Lead merger and acquisition activity, divestitures, strategic investments and other corporate transactions

Negotiate and draft agreements for M&A transactions, divestitures, strategic investments and other corporate transactions.

Draft and manage Section 16 filings

Draft and assist with the preparation of board and committee meeting materials

Lead global subsidiary management with cross-functional teams, draft corporate organizational documents and maintain corporate records

Assist with general corporate and public company compliance matters and special projects as necessary

Support special corporate and securities projects, including offerings and investments

Partner with global cross-functional teams including Communications, Investor Relations, Accounting, Treasury and Tax on various projects

Qualifications:

Minimum of 4 years of significant securities and capital markets experience required (in-house or at a law firm)

A team player with an ability to collaborate effectively with cross-functional teams

Proven track record of working independently and driving projects to completion with minimal supervision

Flexibility, self-starting attitude, and a strong work ethic, enabling you to thrive in a fast-paced and evolving environment

Strong organizational skills, allowing you to manage multiple projects simultaneously

Demonstrated desire for personal growth and an eagerness to take on new challenges and responsibilities over time

Excellent written and oral communication skills, including the ability to present complex legal concepts clearly and concisely
