Job Title: Assistant General Counsel

Location: ADS Headquarters (Virginia Beach, VA) NOT Remote

ADS is seeking an Assistant General Counsel who will work effectively with our legal team to help oversee the contract and compliance activities for our organization. A successful candidate will, in part, be responsible for making sure that company contracts and transactions follow policies and legal guidelines, working closely with the company’s other three attorneys.

RESPONSIBILITIES

Serve as resource to sales team for transaction assistance and as an intermediary with third parties Review and negotiate government contracts; draft and negotiate supporting documents Analyze and interpret government regulations applicable to our business Provide administrative and legal oversight for government contracting and compliance matters Provide accurate legal guidance to the sales staff on their transactions Create and provide periodic training to sales staff on government contracting and compliance matters Conduct internal compliance audits and assist with internal investigations Assist with litigation and bid protest matters

QUALIFICATIONS

A juris doctor (JD) and an applicable Virginia state license to practice law are required 2-10 years of corporate legal experience, with an emphasis on government contracting a plus Experience in negotiating distributor agreements, terms and conditions, subcontracts, and other third-party agreements Proven understanding of the FAR and government acquisition laws (such as the Procurement Integrity Act, Robinson Patman Act, and general antitrust laws), and experience with the Berry Amendment and Trade Agreements Act a plus Experience advising on export control laws (EAR, ITAR and Customs) a plus Litigation experience (particularly commercial and/or employment matters) a plus Experience advising on employment law matters (particularly for government contractor clients) a plus High-level problem-solving ability Strong communication and organizational skills Proven ability to issue spot Strong work ethic; independent worker
