Assistant General Counsel
Overview

The Assistant General Counsel handles a broad range of commercial, corporate, and transactional legal matters for all areas of the company. The Assistant General Counsel must also be prepared to assist in management of litigation matters.

This position sits in our Pearland, Texas office Mon - Fri. This is an in-office opportunity only.

The essential job functions include, but are not limited to:

Work directly with all departments to coordinate the delivery of legal services

Draft, review, and negotiate agreements

Offer legal counsel on a variety of issues

Manage various projects and deadlines

Advise company employees on contract status, legal risks, and business terms

Develop solutions to complex legal questions

Evaluate and manage commercial transactions

Assist senior management with evaluating risks within the business and with respect to specific transactions

Manage the new vendor setup process as well as standard agreement templates

Participate in the definition and development of corporate policies, procedures, and programs, and provides continuing counsel and guidance on legal matters and on legal implications of all matters

Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes

Identifies, evaluates, and implements new technologies to increase the efficiencies of the Legal Department

Works with outside counsel and consultants in the management of company’s intellectual property portfolio, insurance program, tax matters, real estate transactions, and construction projects

Supervise one or more paralegals or legal professionals

It is an essential function of this job for the employee to work in office/in the employee’s assigned work site. No remote work is available

The position requirements include, but are not limited to:

The Assistant General Counsel must be licensed to practice law in Texas or be licensed in another state and be eligible to become licensed in Texas within one year

The Assistant General Counsel must have attended law school and must possess a Doctor of Jurisprudence

Minimum of 7 years of relevant legal experience is preferred

Must be able to maintain strict discretion and confidentiality

Must possess excellent analytical skills

Previous in-house experience is preferred

Proficient skill level with Microsoft Applications is required

Proficient skill level with Lexis and Westlaw is required

Prior experience working as an in-house attorney is required

Prior experience drafting, reviewing, and negotiating agreements is required
