Assistant General\nCounsel – Corporate, LEM & LES
Location: Prague
This\nrole reports directly to the Honeywell VP & General Counsel EMEA and is\nresponsible for effectively providing operational and strategic legal support\nfor legal entity management & simplification (LEM&LES) globally and\ncorporate general and transactional matters within the region. This AGC is a\nmember of the EMEA Legal Leadership Team and will provide general commercial,\ncorporate governance and compliance advice to the leadership, and work in\ncollaboration with the wider Honeywell Legal and functional team members.
This\nposition leads also global LEM team and is responsible for (i) corporate legal\ncompliance of HON entities, (ii) supporting corporate secretarial work for HON\nsubsidiaries (in coordination with outsourced subsidiary management teams), and\n(iii) implementation of legal simplification projects (LES), other reorgs and\ncorporate transactions. You will support projects of mergers and acquisitions,\ndivestitures, contributions, increases and decreases of share capital, business\nand assets’ transfers, corporate reorgs, etc.
You\nwill anticipate and mitigate potential legal problems within the company and\ndeveloping strategies to avoid costly litigation and reduce potential areas of\nrisk. You will keep abreast of\nindustry-specific regulations and ensuring that appropriate risk management\nstrategies are in place.
You\nwill manage legal activities and projects, update the legal and business teams\nabout regulatory change and lead some specific regional legal projects in\ndifferent functional areas of expertise.
Core\nResponsibilities:
Actively participate on the EMEA legal leadership team.Operate as a true business partner to business, functional and legal leaders on any corporate and transactional matters (including Corp Sec, general corporate matters, corporate reorganizations and transactional matters).Actively support businesses in region and act as a true business partner on any corporate and transactional matters.Advise on critical strategic matters, such as the risks and opportunities posed by potential transactions.Ensure proper corporate governance and licensing of Honeywell's entities, support M&A, integration and restructuring projects as well as legal entity simplification.Appropriately identify and manage outside counsel for specific matters as appropriate.Drive a culture of compliance, including training and investigations in cooperation with the EMEA I&C and antitrust professionalsLead key digitization initiatives to make the EMEA Law & Contracts function more efficient.Lead project activity as required.
You Must Have:
JD or equivalent law degree and bar admission.At least 10 years’ experience practicing law at a law firm and/or corporate in-house legal department.Minimum 7 years’ experience in legal entity management.Minimum 7 years’ experience in corporate law, M&A, corporate transactions, etc.International law firm experience in a corporate / transactional team would be advantageous.We\noffer:
