Assistant General Counsel (Commercial Contracts and Product)

Position Overview:

We are seeking an experienced Assistant General Counsel, Commercial Contracts and Product to support our legal team in managing commercial contracts and product development.  The ideal candidate will have a strong background in contract law, preferably within the healthcare payer sector. This role will be pivotal in supporting our business operations by managing the drafting, negotiation, and review of various commercial agreements while ensuring compliance with legal standards and company policies. This position will report directly to the General Counsel. 

Key Responsibilities:

This role involves a blend of strategic foresight and hands-on problem-solving, helping to drive complex deal negotiations in support of our products and services Refine cross functional legal partnership models to deliver positive business outcomes, align with the Company’s long-term objectives, mitigate risks and maximize organizational value structures and practices to ensure compliance with legal and regulatory requirements Collaborate with the broader legal team to provide comprehensive legal advice that aligns with our strategic goals, focusing on areas such as intellectual property, commercial agreements, product development Stay ahead of legal and regulatory developments in healthcare, technology, privacy, and cybersecurity translating complex legal concepts into actionable guidance for the team Establish negotiation objectives and schedules to support and meet business requirements. Prepare negotiation documents that reflect an advanced knowledge of commercial contract terms and conditions, legal requirements for compliance with applicable laws and regulations, and the Company’s financial policies and strategies Understand business requirements and the Company’s risk tolerance Support the business relationship owner to identify risks and negotiate benefit terms Use highly qualified influencing skills to direct and control the negotiation schedule to meet established milestones for completion. Maintain business focus that balances the needs of the business for profitability while ensuring the contractual terms and conditions protect the Company and minimize risk Drive the negotiation to closure and reach agreement with clients and vendors on commercial, financial and legal contractual issues Develop proactive tactics and documents (playbooks, governance programs) to execute the Company’s strategies and goals Assign, coordinate, and follow-through on the involvement of all areas of the Company in a timely manner to execute the plan, such as those required for a successful Deal Desk.

Qualifications:

You should be an intellectually curious self-starter with strong written and oral communication skills This is a high growth area and the ideal candidate is a confident self-starter who thrives in a fast-paced and high-energy environment, and who can prioritize and manage multiple tasks and responsibilities with agility and efficiency 10+ years of experience in commercial contracts, preferably in the healthcare payer industry or related field Strong candidates will have knowledge of and experience in counseling product and technology teams in functional areas including artificial intelligence Extensive experience in corporate and commercial legal roles within high-growth companies, particularly in healthcare Proven leadership and people management skills, with a track record of building and leading diverse teams Excellent analytical, negotiation, and communication skills, with the ability to articulate complex legal and regulatory issues to non-experts Exceptional interpersonal and communication skills, with the ability to build strong relationships across the organization A proactive, collaborative approach to problem-solving, with a drive to take on new challenges and adapt to rapidly changing environments JD from an accredited law school Active membership and good standing in the New York or California bar required 3+ years of experience in representing issuers and/or underwriters in structured finance ABS transactions, warehouse facilities and whole loan sales from either a top tier law firm or as in-house counsel Excellent writing skills and ability to multitask and work independently Ability to embrace change and thrive in a fast-paced environment with conflicting priorities, multiple projects and deadline pressure The salary range below is for Base Salary.  Total compensation also includes benefits and variable compensation.  Compensation will be determined based on several factors including, but not limited to, skill set, years of experience, and the employee’s geographic location.Base Compensation$150,000—$250,000 USD
