Overview

International Game Technology PLC (“IGT” or “Company”), the global leader in lottery products and services, is seeking a highly skilled and motivated professional to serve as Assistant General Counsel, U.S. Governance and Securities law. Duties include primary responsibility for advising Company management regarding U.S. securities laws and NYSE listing standards and supporting corporate governance matters.  The Assistant General Counsel, U.S. Governance and Securities Law must be practical, business oriented, and comfortable interacting with senior executives.  


The successful candidate will report to the Corporate Secretary and be an integral member of the Company’s Corporate Secretary organization within the Company’s Global Legal Department. The position will be located in Providence, R.I. and will involve quarterly travel to London. The Assistant General Counsel, U.S. Governance and Securities law will work closely with corporate accounting, finance and administration, investor relations and communications, HR and other corporate executives, the General Counsel and the Corporate Secretary to provide U.S. securities law advice and support.  


The successful candidate will team with the Company’s UK and US corporate legal staff and interact regularly with other members of the Company’s Legal Department.

Responsibilities Primary interface to the NYSE and SEC for required filings  Compliance with SEC and NYSE rules and requirements  Support for the Company’s Disclosure Committee Advise the Investor Relations and communications teams regarding investor presentations, earnings and other press releases and related materials Advise on securities law and related aspects of the Company’s capital markets transactions Corporate governance advice and support Preparation and review of Shareholder, Board and Committee meeting materials Advice on executive compensation and equity plan administration Develop and assist with implementation of corporate policies and practices relating to corporate governance and legal compliance matters Assist in the preparation of annual reports on Form 20-F, offering circulars, prospectuses Interact with external counsel in the U.S. as needed to support the Company Manage the Company’s securities trading policy and related person transaction policy Serve as Assistant Corporate Secretary Qualifications Strong interpersonal, analytical, problem-solving and organizational skills Strong verbal/written communication skills and ability to communicate effectively at all levels Substantial background in U.S. securities law required - Experience with NYSE registrants preferred Minimum 8 years of relevant experience JD Degree and admission to at least one state Bar Availability to travel, including internationally Keys to Success Building collaborative relationships Decision making Drive results Foster innovation Personal energy Self-leadership

At IGT, we consider a wide range of factors in determining compensation, including background, skills, experience, and work location. These factors can cause your compensation to vary. The estimated starting compensation range is $123,500 - $240,500. The actual pay offered may end up being higher or lower. The Company will comply with all local pay requirements and collective bargaining agreements, where applicable.

 

Base pay is only one part of our Total Rewards program.  Sales roles may be eligible for commission payments, while other roles are eligible for discretionary bonuses .  In addition, we offer employees a 401(k) Savings Plan with Company contributions, health, dental, and vision insurance, life, accident, and disability insurance, tuition reimbursement, paid time off, wellness programs, and identity theft insurance.
