Job Description
The Firm is seeking to add a resource to support its Registered Funds Legal and Regulatory Team in its New York office. This person will be primarily responsible for assisting the Legal Team with the day-to-day legal support necessary for the Public Securities Group’s pooled vehicles, with specific attention to UCITS and 1940 Act funds, among other pooled vehicles. The individual will also assist with legal research efforts as requested as well as other projects that are initiated by the Registered Funds Legal and Regulatory Team or the broader Brookfield Legal and Regulatory team. The person will work closely with the entire Brookfield Legal and Regulatory team and will regularly interact with investment, finance, fund accounting, client service and operations professionals as well as senior management. The individual assuming this role should have deep familiarity with legal and regulatory matters associated with the management of registered funds and other pooled vehicles, and support for the various independent boards or other governance or oversight bodies thereof, be organized and self-motivated to be able to run independently with projects.
Key Accountabilities
Independently manage, in consultation with senior attorneys, the preparation of documents for board meetings, including coordination of various parties both internally and externally
Work independently with the Boards of Directors or other governance or oversight bodies of our various funds
Oversee, in collaboration with senior attorneys, the maintenance of various registered fund public disclosures by working across groups within PSG to collect information and facilitate effective communication amongst internal and external stakeholders
Collaborate with other members of Registered Funds Legal and Regulatory Team to develop, maintain and update public disclosures consistently across all vehicles supported by the Team
Assist in the organization of investment vehicles organized to facilitate operations by certain pooled vehicles managed by Public Securities Group and maintain corporate governance matters related to the same
Support certain transactional matters related to investments made by funds managed or administered by Public Securities Group
Assist with filings required under Section 16 of the Securities Exchange Act of 1934
Assist with filings required under Canadian regulations for related vehicles
Maintain records and keep track of important provisions in legal and fund agreements
Assist in preparation of various reporting information
Review subscription materials for various products and track information related thereto
Help maintain data rooms and control documentation access for various fund products
Respond to ad-hoc requests from the team
Candidate Profile
Bachelor’s degree plus 5-7 years of professional experience including at least 3-5 years in the legal department of a registered investment adviser that manages registered funds or the asset management practice of a national law firm
Proven ability to learn quickly and prioritize multiple projects
Strong interpersonal skills, with the ability to work well in a team environment
Capable of anticipating and accommodating needs of team members
Strong oral and written communication skills
Excellent critical thinking and organizational skills
Capable of adapting to changing needs of the organization
Energetic and willing to get involved where needed
Proficiency with Microsoft Office (Outlook, Word, Excel, and PowerPoint)
Proficiency with Diligent Board Solutions
Exceptional attention to detail, placing a high priority on accuracy
Strong analytical, project and time management skills
International registered fund experience is a plus (primarily Luxembourg and Irish domiciled funds)
Salary Range: $100,000 - $125,000
Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive. Compensation decisions are based on a number of factors including relative experience, overall years of experience, industry experience, education and designations
