SUMMARY: Exelixis is seeking an Associate Corporate Counsel to join the Legal Department’s corporate team, reporting to the Vice President II, Corporate Legal Affairs and Operations, and Board Secretary. You will be an integral member of the Corporate Legal Affairs Department and will have the opportunity to operate independently in a dynamic environment to support the securities reporting and corporate governance needs of Exelixis. You will work collaboratively with various teams across the organization, including Finance/Accounting, Investor Relations/Public Affairs, Human Resources, Facilities, IT, Compliance and others, as well as with external counsel. 

*This position is onsite five (5) days a week (Monday through Friday).

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Assist with the preparation of SEC public reporting (Form 10-K, Form 10-Q, Form 8-K, Proxy Statement, Section 16 filings) and quarterly earnings, and ensure compliance with SEC and Nasdaq rules and requirements. Eventually, this role will include overseeing and managing the SEC reporting process.

Support the preparation and publication of Exelixis’ annual Corporate Values & Sustainability Report.

Provide corporate governance advice and support, including preparation of Board and Committee meeting materials and minutes, development of internal policies and procedures, and entity management.

Support the Investor Relations & Public Affairs teams with company disclosures, including review of press releases, investor presentations, website/social media communications and other materials.

Gain understanding of the priorities for Exelixis’ institutional stockholders and facilitate regular engagement, as well as coordinate matters related to Exelixis’ Annual Stockholders Meeting.

Provide legal advice with respect to securities matters, including equity plan administration, executive compensation, 10b5-1 Plan support and employee trading policies.

Advise a variety of internal clients and cross-functional teams enterprise-wide, including Human Resources, Finance/Accounting, IT, Facilities, Commercial, Clinical Development and Pharmaceutical Operations & Supply Chain on various projects.

Support the Legal Department’s activities with respect to M&A and similar transactions, restructurings and corporate financing.

Responsible for maintenance and organization of physical and digital corporate legal records and resources.

As needed, draft, negotiate and review a wide range of contracts in support of the Exelixis’ General & Administrative organizations (which may include confidentiality agreements, consulting agreements and various vendor services agreements). 

Coordinate with and efficiently manage external counsel.

SUPERVISORY RESPONSIBILITIES:

May supervise temporary employees for certain projects.            

Room for additional responsibilities if appropriate.              

EDUCATION/EXPERIENCE/SKILLS: 

Education:

BS/BA degree.

JD degree and minimum one year of related experience are required.

Must be admitted to practice, preferably in California.

Experience:

At least three years of relevant experience as a corporate attorney in a large law firm representing public companies or in-house legal department of a public company preferred.

Experience with executive compensation, negotiating vendor services contracts, technology licensing or healthcare compliance, or representing clients in the biotechnology or pharmaceutical industry, is a plus.

Knowledge/Skills/Abilities:

Possesses executive presence and ability to interact comfortably with executives and senior management, clear and concise verbal and written communication skills, as well as excellent interpersonal skills. 

Ability to develop creative technical and/or business solutions for complex problems and implement organizational or team objectives.

Must be efficient, detail-oriented and have strong organizational skills.

Ability to handle multiple tasks simultaneously and re-prioritize as appropriate within short timeframes.

Acts responsibly and conscientiously and can work under pressure to meet specific deadlines.

Ability to work both independently and in a team environment, including cross-functional projects.

Comfortable learning and managing projects in new areas of law beyond corporate and securities as may be needed to achieve Legal Affairs department goals.

Dedicated to quality, reliability, and highest professional and ethical standards in all work tasks.

Must be a self-starter and quick learner.

Must have good judgment.

Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, etc.), digital document management, redlining software and file sharing programs; experience using any board management software, Workiva and/or Smartsheet is a plus.

Proficient in internet-based corporate legal research, including resources such as Intelligize, thecorporatecounsel.net and section16.net.

WORKING CONDITIONS:

·Environment: primarily working indoors in an office environment at the corporate headquarters.

Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The base pay range for this position is $164,000 - $234,000 annually. The base pay range may take into account the candidate’s geographic region, which will adjust the pay depending on the specific work location. The base pay offered will take into account the candidate’s geographic region, job-related knowledge, skills, experience and internal equity, among other factors.

In addition to the base salary, as part of our Total Rewards program, Exelixis offers comprehensive employee benefits package, including a 401k plan with generous company contributions, group medical, dental and vision coverage, life and disability insurance, and flexible spending accounts. Employees are also eligible for a discretionary annual bonus program, or if field sales staff, a sales-based incentive plan. Exelixis also offers employees the opportunity to purchase company stock, and receive long-term incentives, 15 accrued vacation days in their first year, 17 paid holidays including a company-wide winter shutdown in December, and up to 10 sick days throughout the calendar year.
