Associate Counsel

Triumvirate Environmental, one of the largest environmental services firms in North America, is seeking an Associate Counsel for our Legal team.  

This individual will be responsible for driving M&A transaction success by providing expert legal support and guidance, ensuring legal and compliance requirements are met, and contributing to the seamless integration of post-acquisition activities. This individual will also be responsible for streamlining M&A processes, fostering collaboration across teams, and supporting the company’s strategic growth initiatives through successful legal execution of transactions.

This position reports to our Director of Legal. This role is hybrid and is based in Somerville, MA.  

Responsibilities: 

Provide legal guidance and support on mergers, acquisitions, divestitures, joint ventures, and other strategic transactions. Lead the drafting, review, and negotiation of transaction agreements, including purchase agreements, confidentiality agreements, and term sheets. Conduct and oversee legal due diligence to identify and mitigate potential risks. Work closely with internal stakeholders, including corporate development, finance, and business units, to support M&A activities and align with company objectives. Partner with external counsel and advisors as needed to ensure successful transaction execution. Advise on legal risks and issues related to M&A transactions, ensuring compliance with applicable laws and regulations. Support integration efforts post-transaction to ensure seamless transitions and adherence to contractual obligations. Assist with board and shareholder approvals, resolutions, and other corporate governance matters related to M&A transactions. Maintain accurate records of M&A activities and transaction documentation. Develop and enhance M&A playbooks, templates, and best practices to streamline processes and improve efficiency. Stay updated on industry trends, legal developments, and regulatory changes affecting M&A transactions.

Basic Requirements: 

Juris Doctor (JD) from an accredited law school. Active bar membership in good standing in at least one U.S. jurisdiction. 5+ years of legal experience, with a strong emphasis on mergers and acquisitions. Proven experience drafting and negotiating complex transaction documents. Strong understanding of corporate law, securities regulations, and M&A best practices. Exceptional analytical, problem-solving, and organizational skills. Ability to manage multiple priorities and deadlines in a fast-paced environment. Excellent interpersonal and communication skills, with the ability to work collaboratively across diverse teams. Must be eligible to work in the United States without future sponsorship 
Must have a reliable form of transportation 

Preferred Requirements: 

Prior in-house legal experience, particularly in a corporate legal department. Familiarity with cross-border transactions and international M&A. Experience with integration planning and execution post-acquisition.
