**Associate General Counsel, Real Estate, Commercial, and Franchising** Full time • San Francisco, CA; Dallas, TX; Independence, OH; or Overland Park, KS Flynn Group seeks an experienced attorney to lead its Real Estate, Commercial, and Franchising practice group. Reporting to the General Counsel, the successful candidate will manage all legal aspects of the Company’s real estate and construction, commercial, and franchise operations across the country. In addition to collaborating closely with the Real Estate and Procurement Departments to support their day-to-day legal needs, the Associate General Counsel, Real Estate, Commercial, and Franchising (AGC) will work cross-functionally across additional business lines to improve processes and efficiencies, lead cost-savings initiatives, and support general corporate strategies. This position can be based in any of our Support Centers located in San Francisco, CA; Independence, OH; Dallas, TX; or Overland Park, KS. **Responsibilities** + Review, draft, and negotiate real estate agreements, including but not limited to leases, lease amendments, subleases, real estate purchase agreements, estoppels, SDNAs, CC&Rs, easements, and related agreements. + Manage eminent domain actions, including risk analysis, relocation options, compensation, and local rules, coordinating with in-house and outside counsel as needed. + Conduct due diligence for property acquisitions, including review of environmental reports, title matters, surveys, zoning, and service agreements. + Review, draft, and negotiate construction and design contracts to support the Company’s new construction and remodel initiatives. + Prepare lease summaries and analyses. + Provide legal advice on real estate, development, and related corporate matters. + Support in-house litigation team on real estate and construction-related pre-litigation and litigation matters. + Oversee and elevate processes and procedures relating to Franchise and Development Agreement process, including document review, tracking, and partnering with cross-functional teams and Franchisors to ensure all terms are accurate, payments made and received, and incentives met. + Strategize and develop short- and long-term development of commercial contract practices to optimize terms, minimize risk, and increase efficiencies; oversee preparation and delivery of contract review training for business partners. Review and negotiate commercial contracts. Develop and track metrics to evaluate future business needs and cost-effective practices. + Supervise and develop internal Real Estate, Commercial, and Franchising practice group team members; as the organization grows, evaluate and build business case for appropriate resourcing and structuring of practice. + Provide quarterly reports on practice areas (Real Estate, Franchise and Commercial Contracts) addressing cost savings, opportunities, and work product metrics. Manage outside counsel and related budget. **Requirements** + 12+ years of real estate experience in a law firm and/or as an in-house attorney (strong preference for tenant-side retail leasing experience); 3+ years of experience managing attorneys/staff preferred. + Juris Doctor from accredited law school; member in good standing of at least one state bar. + Entrepreneurial mindset that enables you to successfully work independently with little guidance, but also to use good judgment and escalate issues when needed. + Demonstrated ability to guide multiple objectives and initiatives simultaneously. + Dedication to exceptional client service. + Ability to operate as a team player who can effectively work with and manage legal staff and business clients cooperatively and efficiently. + Exceptional written and verbal communication skills. + Sound and practical business judgment and good old-fashioned common sense. + An upbeat, can-do attitude, in keeping with the company’s “Own It!” philosophy. + And you should love being a lawyer! **Why Work for Flynn?** Flynn Group offers a variety of benefits and perks to encourage and empower our employees.
