Associate General Counsel
Associate General Counsel Worksite: Onsite in our Chandler, AZ office is preferred but open to Remote for the right candidate. Job Summary: The Associate General Counsel (AGC) specializing in Commercial Litigation and Dispute Resolution will provide legal expertise in commercial and construction litigation, dispute prevention, and resolution. This role involves managing and advising on litigation matters, supporting risk management, and leading strategic initiatives for dispute prevention. The AGC will work closely with business leaders and external counsel to minimize litigation risks and ensure compliance with relevant laws and regulations. Key Job Responsibilities: Commercial Litigation Management: + Manage and oversee all phases of complex commercial litigation, including pre-litigation investigations, pleadings, discovery, motion practice, trial preparation, and settlement. + Provide legal counsel on significant business disputes, including contract breaches, trade secret disputes, intellectual property, employment disputes, and other commercial conflicts. + Work closely with internal teams and outside counsel to develop case strategies and evaluate litigation risks and opportunities. + Coordinate with external law firms in litigation, arbitration, and mediation proceedings, ensuring efficient and cost-effective management of resources. Construction Litigation: + Handle disputes related to construction projects, including contract disputes, delay claims, change orders, and defective work claims. + Provide expert legal advice on construction contracts, risk allocation, and compliance with construction-related regulations. + Act as the main legal contact for any construction-related legal issues, working with project managers, contractors, and stakeholders to resolve disputes. + Collaborate with the procurement and construction teams to ensure contractual compliance and manage potential litigation risks in construction projects. Dispute Resolution & Prevention: + Proactively engage in dispute prevention strategies, including training business units on dispute avoidance and contract negotiation. + Develop and implement dispute resolution strategies, including mediation, arbitration, and negotiation, aimed at minimizing litigation risks and fostering business continuity. + Collaborate with the legal and business teams to create policies and procedures to prevent disputes from escalating into litigation. + Avise on commercial contract matters, including reviewing, drafting, and negotiating contracts with dispute resolution clauses. Risk Management & Compliance: + Collaborate with internal stakeholders to identify potential legal risks and implement risk mitigation strategies. + Conduct internal audits and investigations to ensure compliance with legal and regulatory requirements. + Develop and maintain policies, guidelines, and procedures for dispute resolution, including a framework for managing conflicts and minimizing litigation. + Ensure compliance with industry standards, relevant laws, and regulations, particularly in relation to construction projects and commercial activities. Advisory Role to Business Units: + Provide strategic legal advice to the business units on issues related to commercial contracts, construction disputes, and general litigation risks. + Serve as the primary legal resource for internal clients, providing guidance on business risks, litigation trends, and potential liabilities. + Work with senior management to assess the potential impact of disputes on the company’s reputation and business objectives. + Participate in strategic planning and decision-making processes to align legal strategies with business goals. External Counsel and Vendor Management: + Manage relationships with external counsel and legal service providers to ensure alignment with the company's objectives and cost efficiency. + Evaluate and negotiate external legal services, ensuring that the company's interests are represented effectively in litigation matters. + Manage budgets for litigation, dispute resolution, and external legal services. Qualifications: + Juris Doctor (JD) degree from an accredited law school. + Admitted to practice law and in good standing with the bar in at least one U.S. jurisdiction (preferably where the company is based). + 6+ years of relevant experience in commercial litigation and dispute resolution, preferably with a focus on construction litigation. + Strong experience in managing complex commercial disputes, including contract disputes, construction claims, and risk mitigation strategies. + In-depth understanding of construction laws, contract negotiations, and project management as they relate to legal risk. + Experience working in a corporate legal department or a law firm with a focus on commercial and construction litigation. + Expert understanding of commercial litigation processes, construction law, and dispute resolution. + Proven ability to negotiate, mediate, and communicate effectively with internal and external stakeholders, including outside counsel. + Ability to align legal strategies with business objectives, offering pragmatic and risk-based legal solutions. + Strong organizational and project management skills, with the ability to handle multiple cases and disputes simultaneously. + Demonstrated ability to manage alternative dispute resolution processes, including mediation and arbitration. Preferred qualifications: + Experience in the renewable energy, infrastructure, or technology industries. + Familiarity with international litigation and arbitration proceedings. + Experience working with government contracts and regulatory agencies. + Certification in mediation or dispute resolution (preferred but not required).
