Description We are seeking an experienced Associate General Counsel to join our team based in Framingham, Massachusetts. As part of our team, you will provide comprehensive advice and support on a variety of executive and broad-based compensation plans and processes. This includes responsibilities such as handling plan design, investments, and administration, governance matters, and counseling and strategic advice on tax, securities, employment, and other substantive issues.
Responsibilities:
• Providing counsel and strategic advice on technical tax, securities, employment, and other substantive issues, shareholder and proxy advisor considerations, and market practices.
• Handling plan design, investments, and administration, including reporting, disclosure, claims, and appeals.
• Assisting in the drafting and interpretation of sophisticated agreements, plans, and award documentation.
• Monitoring and analyzing related developments and trends in the industry.
• Overseeing governance matters including resolutions, minutes, and processes for fiduciary committees and other oversight committees.
• Managing employment, consulting, separation, and restrictive covenant agreements.
• Overseeing executive compensation matters including proxy disclosure and shareholder engagement on compensation and benefits matters.
• Handling compensation and benefits aspects of international operations and corporate transactions.
• Managing plan service provider agreements.
• Overseeing plan documents and employee communications. Requirements • Must possess expertise in Corporate & Commercial law
• Proficiency in Corporate Governance is required
• Demonstrated experience in Corporate Transactions is essential
• Familiarity with Employee Benefits - ERISA is a prerequisite
• Knowledge and understanding of Employment Law - Employer is necessary
• Experience in handling Payroll is desired
• Must have a solid foundation in Employment Law
• Ability to prepare and review Proxy Statements is a must
• Should have extensive knowledge in Securities
• Proficiency in Securities Law is necessary
• Experience in drafting and reviewing Shareholder Agreements is required
