**Superior** is currently seeking an **Associate General Counsel** to join our team in **Houston, TX (Downtown)** (On-Site 4 days).
Under the direction of the Deputy General Counsel, Superior Energy Services, Inc. (“Superior”) is seeking a talented transactions skilled attorney to serve as Associate General Counsel for the company. Superior is a global oilfield products and services company with a portfolio of premier rental and well servicing brands.
The Associate General Counsel for Operations will serve as the primary attorney in support of Superior’s portfolio brands in their global operations and in executing business development and growth initiatives, aligning product service line risk appetite with overall company strategy and risk tolerance, and ensuring compliance with all applicable legal regulations and ethical standards.
The selected candidate will:
+ Partner with the business units to support their legal needs and business development strategies.
+ Be skilled in drafting, advising on and negotiating a variety of commercial contracts in support of global operations, including master service agreements, work/purchase orders, vendor agreements, sale agreements, supporting documents in respect of bids and tenders, guarantees, agency, sales and distribution agreements, notices and NDAs, real estate and intellectual property, with little or no supervision.
+ Ensure all contracts adhere to applicable standards and corporate legal policies, principles and guidelines, are internally consistent and appropriately address legal and risk considerations, including use of appropriate contract templates, use of appropriate contracting entity, potential tax considerations and other drivers, and a solid understanding of oilfield services risk allocations with appropriate minimization and ringfencing of liabilities.
+ Manage international legal entity rationalization, consolidation and expansion activity, international governance, and company secretarial work to provide a compliant and tax-optimized framework that enables business units to operate efficiently around the world.
+ Be skilled in managing due diligence, reviewing deal structures and negotiating corporate transactions in support of growth initiatives.
+ Support mergers and acquisitions activity, managing due diligence, reviewing deal structures and negotiating corporate transactions in support of growth initiatives.
+ Follow best practices for contract review processes, controls and contract management system.
+ Have a good understanding of property/casualty/professional liability insurance and risk management principles.
This is a full-time office position based in our Downtown offices in Houston, Texas.
**EDUCATION & EXPERIENCE**
+ A minimum of 10 years’ experience in corporate legal work including M&A support and commercial contracting with Oilfield Services in-house experience strongly preferred.
+ Juris Doctor in Law from an accredited U.S. law school, and admission to practice law in good standing in the State of Texas.
+ Excellent written and oral communication skills with careful attention to detail, comfortable and confident in dealing directly with customers and business units and able to identify, communicate and mitigate issues.
+ A positive attitude, high energy, desire to grow with the business and help maximize opportunities.
+ Strong organizational and time management skills with the ability to manage several simultaneous projects under deadline pressure.
