Job Description

The purpose of this job is to act as the company’s legal advisor to its energy and alternative fuels teams and perform critical strategic and tactical legal functions within the company.  The role will provide the energy and alternative fuels leadership team with effective advice on corporate, M&A, energy transition, and transportation transition matters, as well as direct and manage key legal activities for Pilot Energy. 

This role will act as a subject matter expert and provide legal support for the negotiation, drafting, and implementation of agreements supporting a wide variety of transactions and operations. 

Provide counsel on M&A, project development, public-private partnership agreements, and other strategic transactions, working with outside counsel when warrantedServe as key legal advisor on all major strategic transactions, including drafting and negotiating critical contracts, third-party agreements, prospective business ventures, and customer/vendor/supplier/subcontractor relationships Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures in legal entitiesConduct due diligence on acquisitions, joint ventures, and mergers Manage and evaluate outside counsel, including hiring outside legal counsel, review of outside counsel work product, and reviewing related expensesServe as key legal advisor on compliance with applicable laws and regulations and assist with the development of key compliance tools and programs for alternative fuels and grants. Provide direct support for the Head of Legal, EnergyManage internal stakeholders and engage cross-functionally to ensure collaborative transactions with competing priorities Model behaviors that support the company’s common purpose; ensure guests and team members are supported at the highest level
 

QualificationsA Juris Doctor (JD) degree from an accredited college or university, requiredLicense to practice law in the state of Texas or Tennessee Three or more years of meaningful transaction experience including significant M&A work2 plus years of in-house legal experience highly preferredCorporate, M&A and energy projects experience requiredIntermediate Microsoft Office skillsAbility to write business legal reports and correspondenceTime management and ability to prioritize in a fast-paced environmentCritical thinking and ability to proactively identify potential problems and mitigate existing issuesLegal research capabilities with attention to detailAbility to demonstrate confidence, professionalism and assertiveness in complex and challenging circumstancesAbility to think strategicallyStrong communication skills and high emotional intelligenceStrong business and financial acumen, as well as superior analytical and writing skillsExperience working on matters of mergers and acquisitions and/or alternative fuel projectsExperience with cost-effective management of outside legal resources is necessary
