To provide high quality, experienced legal advice in governance and regulatory matters to support the Company’s compliance with applicable reporting and disclosure obligations.
This position works closely with our global business units in order to provide timely and effective legal counsel. This position mostly works under minimal supervision and this position must be comfortable making decisions as to contractual language and providing legal advice to business teams. However, this position must also be conscious of situations requiring it to consult Global Legal Services colleagues, management, other business units, and outside counsel when necessary. This position works in a fast-paced environment with multiple ongoing projects and priorities at any given time and therefore must maintain a high level of organization and efficiency.
Essential Functions:
Assist with corporate governance matters including annual dissemination and review of Annual D&O Questionnaires, Independence Questionnaires and UK Emolument Forms; review and respond to proxy analyst reports; support Investor Relations by preparing responses to investors and other inquiries; handling of shareholder proposals; response to SEC comment letters and other regulatory inquiries; legal review and negotiation of various bank account related contracts and documents. Assist with the preparation and review SEC and other regulatory filings, including annual Proxy Statement, Form 10-Ks/Qs and Form 8-Ks. Assist with drafting, reviewing and negotiating documentation for financings and other commercial transactions, including capital markets offerings, export credit facilities, syndicated loan facilities, bilateral bank loans and intercompany loan arrangements. Support other finance transactions (including ISDAs, bonding facilities and letter of credit facilities) and assist with corporate and commercial transactions and projects. Draft, review and negotiate other commercial contracts as needed.Qualifications:
A Juris Doctor (JD) from accredited U.S. law school, with a strong academic background. License to practice law. 3-5 years of in house or law firm experience as a corporate attorney, with significant experience representing U.S. public companies, and experience with UK public companies a plus. Ability to work well independently as well as cooperatively and efficiently with internal colleagues and outside legal advisors. Ability to manage numerous challenging work assignments simultaneously in fast-paced environment. Excellent decision-making and problem-solving skills and demonstrated maturity and good judgment. Team player who has the ability to build rapport with a diverse range of business and legal partners. Excellent oral and written communication skills and attention to detail.Knowledge, Skills & Abilities:

Visual acuity is required to perform activities such as: preparing and analyzing data, viewing a computer terminal, reading documents, reports and emails. Travel is minimal (10% or less) domestically and very little internationally.
Work Conditions: Position will be located at Carnival Corporation’s headquarters in Miami, Florida. Work beyond normal business hours may be required occasionally to support business needs or projects.
This position is classified as "in-office." As an in-office role, it requires employees to work from a designated Carnival office in South Florida from Tuesday through Thursday. Employees may work from home on Mondays and Fridays. Some positions may require additional in-office time each week and final schedule is determined by your leader. Candidates must be located in (or willing to relocate to) the Miami/Ft. Lauderdale area.
