Associate Legal Counsel - Governance & Securities

Job Description 

 Abercrombie & Fitch Co. is seeking an Associate Legal Counsel to join the Governance and Securities team in the legal department. The Associate Legal Counsel will support all aspects of our public company obligations, focusing on SEC compliance and disclosure, proxy statement and annual stockholders meeting processes, stock exchange listing matters, corporate governance and global subsidiary management, and corporate finance matters.

This individual will be an integral member of the legal team, reporting to the Sr. Director of Corporate Governance and Securities. In this role, you’ll work with a variety of business partners throughout the company, including members of the Finance and Accounting, Tax, Investor Relations, Treasury, HR and Compensation, and Sustainability teams.

This job is located at our Global Home Office in Columbus, Ohio.  

What Will You Be Doing? 

Assist with preparing and supporting legal compliance with the company’s SEC filing obligations, including current reports on Form 8-K, periodic reports on Form 10-Q, annual reports on Form 10-K, Section 16 filings, securities offerings, and other related filingsSupport the preparation of, and provide legal advice on, the company’s annual proxy statement (DEF 14A) and annual stockholders meeting, including compliance with disclosure requirements, draft development in Workiva, and overall project managementProvide legal advice regarding compliance with New York Stock Exchange listing standards and related rules, including notifications, interim affirmations, and annual affirmationsProvide legal support to the Corporate Secretary and Assistant Secretary, including the drafting, preparation, and review of Board of Director meeting agendas, materials, and resolutionsProvide legal support for the maintenance of the company’s global subsidiary structureProvide legal advice and support for corporate finance and capital allocation activities, including support for the company’s credit facilities and debt transactions, and capital allocation initiatives (such as dividends, stock repurchases, and debt repurchases)Provide legal support and guidance with respect to executive compensation matters, including equity plan administration and stock trading windowsProvide support for other legal projects, as needed

What Do You Need To Bring? 

JD degree from an accredited law school and current license to practice law in the U.S. (a valid license to practice law issued from the Ohio Bar or be qualified for admission as corporate counsel in Ohio)3-4 years of relevant legal experience, preferably in a law firm or in-house legal department; strong preference for knowledge of SEC rules and regulations and NYSE listing requirementsStrong project management skills and ability to work collaboratively with cross-functional teamsExcellent drafting and communication skillsHigh level of integrity, professionalism, and attention to detailStrong analytical and problem-resolution skills; exceptional business judgment, with the ability to think strategically and give practical advice by balancing business needs with legal risksAbility to work independently and manage competing demands in a fast-paced environment
