Description We are on the search for a Junior Corporate Counsel to become an integral part of our corporate legal team in the Digital Infrastructure industry. Based in Dallas, Texas, this role reports to the Corporate Counsel who is responsible for board of directors, corporate governance, capital markets transactions, and public company representation. This role will provide an opportunity to collaborate with various teams, including HR, the Office of the CEO, Finance, and Accounting. This is a hybrid position which will require you to work 2 days in office/3 days from home each week. Responsibilities: • Oversee and assist in managing all aspects of the Company's Board and Committee matters, including drafting and updating meeting agendas, schedules, minutes, and resolutions. • Coordinate, organize, and maintain the Company's e-board book platform, including posting of materials for review and online voting. • Handle director compensation processes and maintain relevant records. • Support corporate governance matters, transactions and compliance, including due diligence requests and submitting ongoing updates on corporate governance requirements. • Prepare and file Section 16 reports for the Company's directors and executive officers and track 10b5-1 activity. • Ability to maintain annual meeting calendars and quarterly internal calendars. • Draft and update meeting agendas, schedules and minutes as well as resolutions. • Contribute to the continuous improvement of policies, procedures and forms for the Legal, Risk, Sustainability and Compliance department. • Scheduling of quarterly off-cycle meetings For confidential consideration, contact Rosie Jones at 214-999-0909 Requirements • Applicant should have 1 to 3 year's experience as a corporate attorney--preferably from a law firm; but will consider a corporate legal department • JD from an ABA accredited law school; license in good standing with at least one state bar from any state • Experience supporting public company boards is required • Knowledge and experience in Corporate Compliance is essential. • Understanding and experience in Corporate Governance is required. • Experience with global entity management is helpful • Excellent drafting, writing, speaking and analytical skills needed • Ability to develop and implement processes for LRSC department • Experience in handling Corporate Legal matters is required. • Familiarity with Corporate Maintenance activities is necessary. • Ability to manage Corporate Minute Books efficiently is expected. • Experience in dealing with Corporate Trust matters is needed. • Experience in administering public company equity plans and handling Section 16 reporting is a plus Please email your resume directly to: rosemarie.jonesroberthalf.< com > for quicker consideration!
