ABOUT THE ROLE
The AVP, Corporate Counsel reports directly to the General Counsel / Associate General Counsel and is a part of the Corporate Legal Team. The Corporate Counsel would assist with the management of all legal affairs of the company, including contract negotiation, regulatory interfacing, corporate governance, mergers and acquisitions, litigation management, and other legal needs for MVB Financial Corp. (“MVBFC”), MVB Bank, Inc. & its subsidiaries (collectively “MVB”).
WHAT YOU’LL DO
Collaborate within the Legal Department and across business and enterprise functions to address legal and risk issues in a manner consistent with the best interests of MVB. Negotiate, coordinate, and draft vendor agreements, statements of work, and change orders involving a variety of products and services Assist in developing and updating contract templates for vendors and distribution partners to mitigate risk for the Company and streamline negotiations for use by internal stakeholders. Develop legal opinions, and draft legal documents to support MVB business unit activities. Support regulatory reporting and interfacing activities with federal and state agencies. Assist in litigation management and eDiscovery efforts. Develop and support the continuous improvement of legal processes and policies, and contract management. Identify and analyze complex legal issues, develop conclusions, and propose recommendations for issue resolution. Support risk management activities, including development of functional domain risk assessments, compilation of product and service risk assessments, and development of risk management strategies. Support efforts in our growing consumer finance and fintech division, including partner negotiations and consumer regulation.The position will require consistent work efforts in excess of 40 hours per week in order to meet MVB and customer needs.
EDUCATION & WORK EXPERIENCE
Juris doctor degree from an accredited law school Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority (WV or VA bar admission a plus). Minimum 3-5 years of experience practicing in a corporate legal department and/or law firm with emphasis in corporate/finance/banking. Overall broad legal knowledge (corporate, commercial, litigation, labor, contract law). Advanced knowledge of regulatory requirements related to financial services is preferred. Willingness to take on challenging assignments and become familiar with new areas of the law Strong verbal and written communication skills, professional presentation, and organizational skills Ability to think critically, creatively and with care in a fast-paced, complex work environment. Ability to perform administrative responsibilities, including secretary of state filings, and budget reviews. Self-motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast-paced Business minded and problem solver Strong presentation, written and verbal communication skills, especially negotiation skills.
