**REPORTS TO:**
Director, Head of Governance, TD Securities Europe & Asia-Pacific
**OVERALL RESPONSIBILITY:**
Support the directors of all relevant subsidiary boards in the region with regard to diary management and general board administration. Support the Head of Governance, TDS Europe & Asia Pacific with team administration as required. The role will also provide support, as required, to other London Control and Support Functions.
**SPECIFIC GOVERNANCE TEAM RESPONSIBILITIES:**
Responsibility for board diary management, in particular of external independent non-executive directors (INEDs) and general board administration with regard to all relevant subsidiary boards/committees in the region. Specific responsibilities include:
+ Acting as EA to and working closely with INEDs to schedule all UK and Ireland board and committee meetings, board training sessions, and regulatory meetings
+ Coordinating internal and external meetings across different time zones and booking meeting rooms for physical meetings in Dublin and London
+ Working closely with internal management and external parties (e.g., auditors or regulators) to schedule other regular touchpoints with INEDs
+ Providing general support for INEDs such as answering HR/IT related queries, processing expenses, assisting with directors' travel requirements for meetings, registering INEDs for external or TD events etc.
+ Maintaining directors' information, such as email addresses, home addresses, timesheets, training records etc.
+ Working closely with global EAs to schedule quarterly regional Europe & Asia-Pacific Supervisory Committee meetings
+ Liaising with administration and staff in the other TD regional offices
+ Scheduling meetings for the EAP Governance team, including team meetings and meetings with other stakeholders, both internal and external
+ Prepare quarterly timeline templates
+ Prepare minute template ahead of each meeting for preparation of minutes by EAP Governance team
+ Maintaining EAP Governance calendar to ensure all key dates are recorded, including availability of directors and senior management, other key internal senior management meetings, deadline reminders for board submissions, deadlines for filing documents with registrars etc.
+ Monitoring the EAP Governance team inbox on a daily basis and allocating actions accordingly
+ Maintaining EAP Governance team's administrative records, such as contact information for board paper contributors, EA lists etc.
+ Arranging team travel, processing expenses, team invoices. Managing team Technology requests, meeting room and desk bookings
Support to London Support & Control Assistants:
+ Diary management
+ Organizing and facilitating meetings
+ Arranging domestic and international travel
+ Processing and management of expense reports and invoices
+ General administrative support to EA functions
+ Maintaining private and confidential documents
**EXPERIENCE REQUIRED:**
+ Experienced EA with Corporate Secretarial or Financial Services experience
+ Excellent organisational skills and attention to detail
+ Extensive experience of multiple diary management
+ Experienced travel coordinator
+ Strong interpersonal skills – ability to build strong relationships with individuals at all levels of an organisation, including senior management
+ Ability to exercise discretion and maintain confidentiality
+ Reliable and self-motivated
+ Good initiative and proactivity, flexible
