We are seeking a skilled and dynamic Counsel to provide legal support for commercial and operational matters. In this role, you will handle high-level contract negotiations, manage legal risks, and ensure compliance with industry regulations, while collaborating with internal teams to drive business success.
As the Commercial Counsel, among other tasks, you will be responsible for:
Provide commercial legal advice and support mainly related to the commercial contract drafting, redlining, negotiation and closing, which may include, without limitation:Work closely with and provide legal advice to the commercial regional teams, including support on the drafting, review and negotiations of contracts;Providing preliminary legal support to business regarding contract interpretation and guidance, particularly regarding disputes or other issues that develop during contract execution;Develop, improve and maintain template forms and general terms & conditions;Conduct impactful training to the business’ team in relation to legal, regulatory and compliance matters, including training on terms & conditions to commercial and, as may be the case, to sourcing teams on annual basis;Drive and advocate commercial and sourcing policies and procedures, supplier/customer approval and competitive bidding.Providing legal advice to the business on strategic initiatives and relationships, including alliance, frame or strategic agreements, joint ventures, channel partner relationships, and other growth and profitability initiatives.Providing ongoing tactical advice and support in general commercial matters and transactions.Advising on customer contract execution issues, particularly regarding disputes or other issues that develop during contract execution and collection of past dues.Advising the business on regulatory, privacy, antitrust, corporate governance, data protection, compliance and advertising/promotional matters. Keeping abreast of legal developments in Latin America Countries, in particular new commercial, regulatory and compliance risks that arise in the region.Fuel your passion
To be successful in this role you will need:
Bachelor's degree from an accredited university or college (or a high school diploma / GED with at least experience in Legal).Experience in legal practiceFluency in English and Portuguese, Spanish intermediate levelExperience in law firm and/or corporate legal department Strong commitment to integrity and professionalismAbility to give pragmatic and practical legal adviceRecord of successful teamwork and diplomatic abilitiesWork in a way that works for you.
