Our client, a prestigious AmLaw 100 firm, is seeking a talented Mid-Level Commercial Finance Associate Attorney to join its growing Corporate Practice Group in Chicago.
Candidate Profile: JD from a top-tier law school with a strong academic record. Bar Admission in Illinois or the ability to become IL barred in the near future is required. 5+ years of substantive law firm experience in commercial finance transactions. Experience in one or more of the following areas: acquisition financing (leverage finance), agented syndicated secured financings (cash flow or asset-based), fund finance, and/or healthcare financings. Strong working knowledge of Article 9 of the UCC. Background in intercreditor agreements and agreements among lenders is a plus. Superior drafting, negotiation, and analytical skills. Desire for meaningful client contact and hands-on deal work. Large law firm or commercial finance boutique experience highly preferred. Key Responsibilities: Represent financial institutions, private equity sponsors, and corporate borrowers in a variety of commercial finance transactions. Structure, negotiate, and draft loan agreements, security agreements, and other financing documents. Advise clients on secured lending matters, including asset-based lending, cash flow financing, and fund finance. Work on complex intercreditor and lender agreements. Collaborate with a high-performing team, including the Corporate Practice Group's and the Banking & Finance interdisciplinary team's leadership, on sophisticated finance matters. The firm offers a competitive compensation package, with an annual salary range of $295,000–$300,000, commensurate with experience and market factors. Additional commpensation includes discretionary bonuses, firm-sponsored incentive programs, and a comprehensive suite of employee benefits.
