About The Role

 

We are looking for a Company Secretarial Senior to join our Company Secretarial Department on a fixed term maternity cover contract. The role is ideal for someone looking to gain substantial experience and exposure in a dynamic corporate environment. The successful candidate will provide support to the manager of the Company Secretarial Department and, on an ad hoc basis, to the Group Company Secretary.

 

This role is integral to ensuring the Group Company Secretarial function operates efficiently and effectively, maintaining compliance with all relevant legal and regulatory requirements. We seek a well-organised person with strong expertise in company law and corporate governance, as well as outstanding interpersonal and communication abilities. Experience in a public limited company (plc) setting would be a distinct advantage.

Key Responsibilities Corporate Governance

 

Monitor and report on changes to the governance and regulatory landscape, particularly relating to the Irish and UK Listing Rules and Market Abuse Regulation. Conduct necessary research and prepare briefing materials for the Group Company Secretary. Ensure the company’s Corporate Governance policies are current and compliant. Global Legal Entity Management Provide support for company secretarial roles in M&A integration activities, corporate projects, reorganisations, strike-offs, and dissolutions. This includes, but is not limited to reviewing and/or drafting of: Supporting materials and documents. Board minutes/resolutions. Due diligence documentation. Powers of attorney; and Legal agreements. Collaborate with the Group Country Compliance function to ensure group companies meet local company secretarial requirements in their respective countries of incorporation. Maintain statutory registers and records within the group’s global entity management system, extracting information as required. Ensure company secretarial compliance for the group’s subsidiaries in Ireland and the UK by: Scheduling board meetings and drafting/reviewing board minutes/resolutions as needed. Managing CRO/Companies House filings for the Company and its subsidiaries Incorporating new companies Maintaining statutory books. Other Responsibilities Adhere to Data Protection Legislation, including GDPR, in managing personal data. Manage relationships with board members and other stakeholders (intra-group and external). Perform administrative tasks related to the Company Secretarial team’s activities. Support notarisation/legalisation of documents when necessary. Qualifications & Skills ICSA qualified or with a relevant legal qualification, with strong relevant experience in a similar corporate role, preferably in a listed plc. Strong attention to detail and experience in minute writing are essential. Excellent interpersonal skills with team working experience and the ability to interact effectively with both colleagues and management. Proactive and experienced in working independently on assigned projects, exercising good judgement and skill in balancing workload to meet deadlines. Strong written and verbal communication skills. Efficient, organised, and detail-oriented, focused on delivering high-quality work. Team player who is keen to engage, learn, and develop.
