The role is predominantly to provide proactive company secretarial support to QBE’s operations in Malaysia, including acting as company secretary of Malaysian operations. An element of the role is to provide additional in-house legal capability to the General Counsel Asia on regional transactions and large projects and dealing independently with smaller matters.

Your New Role :Assist with delivery of Company Secretarial activities to ensure the business meets legal and best practice requirements.Assist in developing and maintaining a policy and strategic framework to provide effective assurance that appropriate processes and controls are in place to mitigate the impact of risks to which the business is exposed.Carry out all Company Secretarial work involved in a variety of projects, including acquisitions and corporate reorganisations.Liaising with in-house and external legal advisers as appropriate to ensure required standards are met.Provides a top tier Company Secretarial service to ensure effective governance and support, raising awareness around the business of Company Secretarial services and specialism.Maintain personal knowledge of Company legislation and policy, including development of changes.Make recommendations on policies and procedures to ensure continuous improvement around Board governance and compliance.Build and maintain strong and effective relationships with key stakeholders (particularly executive and non-executive Directors) to ensure that service delivery meets expectations.Liaise effectively with other Departments, particularly with the Group Legal and Company Secretarial functions to ensure that Group standards are maintained on a consistent basis.Manage the expectations of stakeholders and ensure that any issues are addressed and resolved promptly and appropriately.Assist with Companies Act and statutory compliance issues to ensure ongoing compliance with applicable legislation.Arrange Board and Shareholder meetings, circulating Notices, Resolutions and Minutes as appropriate, to ensure that corporate governance standards are maintained.Manage Company Secretarial activity involved in corporate restructure plans, acquisitions, disposals, and liquidations, to maximise the most effective structure for the business.Manage issues and documentation in the following areas, to ensure compliance with corporate governance standards, due execution and documentary control:Property leases, general insurances, licences, powers. corporate certificates.Manage and develop any direct reports.Motivate and develop any direct reports so as to ensure the required standards of performance, and support the continuing personal and professional development of all team members.

About You :

Excellent interpersonal skills required.Good communicator - Communicates effectively at all levels within the organisation.Technical decision making and ability to meet strict deadlines.Group reorganisations and entity elimination.Organisation of meetings, including production of Notice of Meetings, arrangement of venues, equipment etc.Experience of note taking or minute taking at meetings.Use of Blueprint database to record statutory information.May have a legal or regulatory background.Practical and commercial awareness.Up-to-date knowledge Company Secretarial practice, and of Company law and other relevant legislation.Ideally will also have knowledge of the insurance market.
