We are currently looking for a Company Secretary and Legal Specialist to join us at our facility in Gurugram, Haryana.
Key responsibilities:
· Contract Review and negotiation: Understand the business models and help improve the efficiency via contracts, monitor and improve process for contract development and maintenance; balance and mitigate risks, maximize commercial benefits and ensure the legality of the operations in India.
· Business transactions: Strategize and negotiate the most efficient business models to help the business capture the opportunity and meet the development needs.
· M&A projects: Advise the management team in India and APAC in the due diligence, M&A negotiations, drafting the contracts and facilitating the closing process.
· Being an active business partner to the business team, continually working to identify and mitigate legal and compliance risks and opportunities.
· Employment Issues: Advise business on laws affecting hiring, dismissal, redundancy, disciplinary actions, compensation, benefits and training of Axalta staff; work with HR to review human resources policies and manuals.
· Litigation/Claims/Government Investigation: Initiate, defend and settle claims, demands and litigation; monitor compliance with the claims policy and procedures and progress of court, labor tribunal, arbitration proceedings, and other regulatory investigation in order to mitigate Axalta exposure to various claims.
· Compliance & Corporate Governance Issues: Monitor, update and improve process for corporate compliance with applicable laws and regulations in the area of anti-monopoly, business principles, anti-corruption, etc., conduct the investigation in India.
· Roll out Axalta corporate policies in India, draft the country specific compliance policies if needed, and conduct training on code of conduct, anti-trust, anti-bribery (FCPA), export controls and contract policies, lead / support the investigation activities.
· Be part of regional and global legal & compliance team actively participate in the planning, structuring and implementing the legal and compliance initiatives to safeguard Axalta business growth in India.
· Fulfill the responsibilities of Company Secretary in India, monitor and keep the key stakeholders updated about the developments of rules and regulations, and build up relationship and defend the best interests of Axalta in front of various government authorities.
Key requirements:
•Law degree from reputable Law Schools in India and admission to Bar Council in India.
•3-5 year’s work experience at a multinational company, including but not limited to drafting, negotiating and closing business transactions (including joint ventures).
•Fluent in English and ability to draft and communicate in English.
•Solid track record of managing litigation, corporate contracts day-to-day business counseling, financing contracts and IPR.
•Demonstrate experience prioritizing conflicting demands from multiple business clients and stakeholders in an extremely fast-paced environment with developed business acumen.
•Proven experience on compliance training, including but not limited to code of conduct, FCPA and manage the investigation task force.
