Job DescriptionWorking hours are Monday - Friday, 9am - 5pm.
This is a hybrid working position - 2 days in the Wolverhampton office and 3 days working from home.
The purpose of this role is to two fold. Firstly, to provide administrative support to the Company Secretary. In this role you will support meeting the Statutory requirements of the Eurofins Group’s UK and Ireland legal entities in a timely manner.
The role includes ensuring that the Group’s UK and Ireland companies comply with Group corporate governance as set out in the internal “Spending & Contracting Authority” directive. Secondly to work with the Company Secretary to ensure Legal and Compliance requirements are in place across the UK and Ireland Eurofins Group Companies by supporting with the coordination of compliance related activities.
Provide day to day compliance and legal and company secretarial administration support and assistance to the Company SecretaryAssist in ensuring all Eurofins UK and Ireland statutory company books, statutory records and regulatory filings are well maintained and up to date at all timesManagement and filing of Group’s intercompany service agreements.Drafting board minutes, resolutions, and shareholder resolutions for UK and Ireland companies.Updating and maintaining the Group’s corporate data held in the Corporate Dataroom and on the Group’s data management system. Assistance with drafting and management of intercompany service agreements.Quarterly submission of representation letters to Group in accordance with audit requirementsMaintaining the Group’s corporate structure data management systemDeveloping a good understanding of key policies relevant to role to be able to advise key stakeholders on queries relating to policy and procedureMaintain robust systems and tracking to support the management of key tasks and responsibilitiesSupport the Company Secretary to maintain the electronic Company Secretarial systemAssist in the tracking of UK and Ireland companies’ compliance with key governance policies and compliance targets.Commercial Contract reviewingResponding to email queries and calls relevant to roleConduct the S&CA project and the Statutory Accounts filing on an annual basisQualificationsEducated to A Level English (or equivalent qualification)Proven experience in dealing with legal processes and regulatory authorities, preferably gained in a large complex group.Computer literateProven experience in a Paralegal or Company Secretarial role in a commercial environment that required compliance with process, systems and high levels of accuracyExcellent verbal and written communication skills, with the ability to write clearly and conciselyStrong business acumenMethodical with strong organisation and prioritisation skillsHigh level of accuracy and attention to detailA self-starter prepared to lead an agenda directly with senior managers and internal stakeholdersTrustworthy, experienced and capable of keeping confidential information confidentialAdditional Information
