This is an exciting opportunity for the successful candidate to progress their career in the global funds or financial services industry.

 

The role requires the delivery of professional, effective, high quality corporate secretarial services on behalf of a number of private equity, traditional fund and fiduciary entities, and advising on general governance matters, acting as an technical escalation point for all company secretarial queries from internal parties.

 

The team is comprised of a diverse range of 19 members split into four sub-teams. Workloads are allocated according to skills and experience. One of the major responsibilities of the department as a whole is to act as the key contact for our client boards, maintaining strong governance oversight and ensuring that continual communication is maintained between Northern Trust and the wider client group.

 

You will need to be quick to learn new systems and be great with people, as close working relationships between our colleagues and clients are at the heart of what we do.

 

The purpose of this position is to carry out routine day-to-day company secretarial services and administration of corporate and fund structures under the direction of a Company Secretarial Consultant (Team Leader).

The key responsibilities of the role include:

Responsible for delivering a professional, effective and high quality technical company secretarial and statutory guidance to internal partners, Traditional Funds clients, a large portfolio of Private Equity and Fiduciary clients.Manages a large portfolio of private equity and fiduciary clients statutory and governance requirements.Maintain the corporate and internal records and management of the statutory requirements and statutory books for portfolio of clients(e.g. statutory returns, annual & ad hoc filings, etc.).  Prepare registers of members, directors and secretaries, ensuring that all amendments are made, and requests for registers are dealt with in a timely manner.Arrange execution of entity documentation i.e. Board, shareholder resolutions, share transfers etc.Liaise with external Directors and Chairpersons, internal Relationship Managers and Client Service Delivery Managers.Liaise with external regulators, registries, Government bodies and advisers, such as lawyers and auditors.Proactively supports or leads department strategic projects.Proactively supports or leads annual statutory projects including Annual Validations, Annual General Meetings and GDPR.Assist with all aspects of company secretarial matters including the preparation of agendas, collation and distribution of board packs, obtaining directors availability, attending meetings and drafting minutes and resolutions for routine matters, and supporting listing obligations associated with client Boards (including daily buy-backs/tap issue monitoring).Build and maintain strong working relationships with clients, colleagues and other business contacts

Skills/Qualifications:

The successful candidate will benefit from having:

An understanding of the key corporate governance Codes (AIC, UK and Guernsey) and Guernsey Company LawA thorough knowledge of the offshore fund industry particularly with regard to the statutory and regulatory requirements for Guernsey.Have either or equivalent  professional qualification (preferably ICSA Certificate level or above)Good attention to detailGood interpersonal skills are required to develop close working relationships with colleagues, clients and business contactsEffective communication (written and verbal) with a good command of the English languageAbility to manage time and prioritise caseload effectively in order for deadlines to be metCompetent skills with Microsoft Office Suite and PDF, and experienced in the use of Word and Excel, MS TeamsUnderstanding of end-to-end board meeting process
