The **Contracts Manager, Vexcel Contracts & Compliance** role, supports the Vexcel Contracts and Compliance Team by owning the review, negotiation and approval of non-standard contract terms and non-standard contract documents. The purpose of the Contracts Manager role is to drive a healthy business for internal and external customers, to support contracts and financial process optimization, and to protect Vexcel’s interests. Vexcel is looking for a Contracts Manager to join our team and focus on contract negotiations, transactions, and obligations management in support of Vexcel’s portfolio of state and local government programs.

**Responsibilities**
**Contracting**
+ Manage large, complex subcontractor and supplier portfolios involving procurement of professional services, software, hardware, and maintenance.
+ Negotiate and manage execution of various contractual documents in a fast-paced environment to include Non-Disclosure Agreements, Master Subcontractor Agreements, Purchase Order Terms and Conditions, Statements of Work, Modifications, Software Terms and Conditions (e.g. End User License Agreements, Subscription Agreements, Open-Source Software Terms, etc.), Cloud Services and Solutions Terms and Conditions, Maintenance Agreements, etc.
+ Skillfully and independently lead contract negotiations for both legal and business terms and conditions with customer(s) as well as new and existing subcontractors, operating as a trusted advisor to the delivery team(s) and management.
+ Review, negotiate and structure various types of contracts with the ability to draft complex and substantive legal language to accommodate circumstances and reach consensus, as appropriate and in compliance with all laws, regulations and company policies and procedures.
+ Lead and manage contracting processes to ensure compliance as well as timely contract execution to support delivery and performance.
+ Engage with internal and external stakeholders (e.g., Chief Executive-level executives).
+ Prevent and manage escalated situations through strategic and targeted communications with stakeholders and delivers difficult messages as needed.
+ Establish governance to influence customer decision making and diffuses situations in escalations as needed.
+ Adhere to project compliance standards (e.g., confidentiality, privacy) and requirements of the contract. Accommodates customer compliance standards, including managing compliance-related complexities (e.g., high sensitivity to confidentiality).
+ Manage contractual risks and issues within and across large, complex projects leveragingprevious experience and subject matter expertise to evaluate trends in risks and optimize mitigation strategies across projects using qualitative analyses (e.g., probability, impact, urgency) mitigation plan for high impact/probability risks. Leads recoveries and engages in resolving escalations across other projects.
+ Engage in mentorship of team members as well as formal and informal knowledge sharing and training sessions to educate the team regarding contracts and obligation management.
+ Analyze all program contractual documents to identify commitments, obligations, and requirements.
+ Ensure the legal language to use, reuse, and the creation of intellectual property (IP).
**Presales**
+ Support new customer opportunities in partnership with Sales. Communicates current view of contractual or legal topics on regular cadence, as appropriate.
+ Add input into deal construct and deliverability early in the pre-sales cycle.

**Qualifications**
**Required/Minimum Qualifications**
+ Bachelor's Degree in related field AND 5+ years’ experience in project management
+ OR equivalent experience
+ 5+ years’ experience in contracting for Professional Services, experience responding to RFPs, managing, and negotiating complex government and/or commercial contracts, and problem-solving with respect to client/customer and vendor relationships, at a large-scale corporation, law firm, or government entity or related.
**Additional or Preferred Qualifications**
+ Bachelor’s degree in finance, Business Law, or related discipline AND 12+ years’ experience in contracting for Professional Services
+ OR equivalent experience.
+ Project Management Professional (PMP) certification
+ National Contract Management Association (NCMA) certification.
+ Paralegal experience and/or Juris Doctorate degree with bar admission (active or inactive)
+ Knowledge of contract management, project management, and records management
+ Familiarity with state procurement contracts, administrative laws and statutes, and/or city, state and local procurement rules, policies, and directives
+ Ability to travel domestically 0-25% in planned scenarios.
Consulting Project Management IC5 - The typical base pay range for this role across the U.S. is USD $119,700 - $209,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $151,100 - $226,700 per year.
