Position Summary:
Our Senior Manager, Commercial Transactions is searching for a Contracts Manager to join its five-person, highly collaborative commercial transactions team. We need someone who thrives in a fast-paced, quick turnaround work environment and is able to juggle and prioritize a large and rapid volume of requests for legal support. Under the supervision of the Senior Manager, Commercial Contracts, the Contracts Manager will draft, redline, and negotiate terms for SaaS and software customer agreements, as well as channel partner agreements, NDAs, marketing agreements and inbound/sourcing agreements. This role requires the abilities to to (1) stay cool under pressure, (2) politely but effectively manage internal and external customer expectations, and (3) exercise creativity and pre-existing legal, commercial and basic technology expertise and knowledge to close deals. Responsibilities: Draft, redline, negotiate and close software and SaaS deals, including amendments and orders requiring legal review, in a high volume/rapid close environment. Draft, redline, negotiate and close inbound corporate and technology agreements, marketing agreements, partner agreements and NDAs. Render effective judgments regarding risk versus revenue and growth considerations in drafting, redlining and negotiating an agreement, without necessarily having cut-and-paste fallback language to rely on in orchestrating a deal. Think creatively and learn on a just-in-time basis to get deals done, in a complex corporate context involving multiple brands/product lines with different standard licensing agreements and often needing to negotiate on customer paper. Facilitate creative and effective solutions to close deals in a manner that meets customer needs without taking on undue risk. Become a trusted advisor and partner to sales and other internal customers, providing practical and concise legal and commercial advice and counsel regarding various terms and strategies for closing a deal. Participate in and contribute meaningful impact on special projects around transformational process improvements, development/refinement of policies, and technology accelerators within the legal department. Requirements: Undergraduate or higher-level degree required. J.D. desirable, but not required if professional experience indicates the requisite skills and experience. 4-8 years' experience as a front-line negotiator for software and SaaS deals in an in-house, corporate technology setting. Additional experience as a deal desk rep may be desirable, provided it is in combination with significant experience as a front-line negotiator for a corporate legal team. Excellent customer-facing negotiation, communication, and collaboration skills, along with the ability to help customers understand legal/contractual requirements in the context of our products. Ability to effectively navigate complex issues with sales and external stakeholders and build relationships across departments. Well-organized and able to work against tight timelines while handling a large volume of quick turnaround deals and requests for legal support. Ability to stay cool under pressure. Ability to be collaborative and share knowledge with the transactions team, including the ability to ask for help and guidance when needed. Our team learns and grows together.
