You excel in a highly collaborative culture and have a proactive mindset when it comes to agreements to be a true partner to the business stakeholders. Your experience in software licensing, SaaS, and cloud services offerings and solutions is enhanced by the vision that the identification anything makes everything possible. **What you will do:** As the Contracts Manager, you will handle a wide variety of matters including general corporate and contracts matters supporting the Legal Department. You will administer, negotiate (when appropriate), as well as track and maintain all customer, partner, and vendor contracts. The Contracts Manager is responsible for maintaining the entire contract process, partnering with Key GS1 US internal departments with a primary focus on executing against the Legal Department Strategic Plan. The Contracts Manager will take a first level role in the negotiation of commercial and government contracts, as well as consolidate, calculate, and analyze information relating to those contracts and capture relevant contract information in appropriate corporate systems. This individual will be responsible for collaborating with internal cross-functional teams and customers to achieve greater understanding of contract obligations as well as contract compliance including monitoring, identifying necessary action items, and reporting on terms of contracts. Among other duties you will play a lead role in assisting our members through the complexities that merger and acquisition activity has on their bar codes – a critical service GS1 US provides to its members ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other responsibilities may be added. + Work cooperatively to explain, negotiate and achieve execution of standardized agreements. + Develop and draft, with direction from the General Counsel, appropriate contract language to protect the assets and interests of the organization. + Demonstration of an understanding of legal contract concepts, negotiation strategies, efficient automation of contract processes. + Communicates company contract policies and requirements to internal managers and employees and addresses areas of concern regarding individual contracts projects. + Determines and initiates required follow up and or additional analysis. + Assists in maintaining contract matter management database and willleadcompliance related projects. + Works with General Counsel to create dashboard and metrics. + Answers customer questions around contractual terms and service level agreements. + Responsible for storing contracts within the appropriate contract database (SharePoint or Matter Management Tool) consistent with the corporate policies. + Collaborates with other business units on clarifying and correctly capturing contractual terms. + Research, develop and implement processes and tools to enhance the contract administration function. + Provides leadership and advice around contracts administration to business groups. + Prepares internal and external correspondence and responds independently as appropriate. + Orchestrates meeting logistics, assists with agenda preparation, gathers information, and prepares material. + Represent the department at internal meetings, training sessions and presentations. + Other duties as assigned by supervisor.
