POSITION SUMMARY
The Coordinator of Corporate Governance and Licensure is responsible for providing legal support and assistance to the Board of Trustees of Health First Shared Services, Inc. (including all subsidiary and related entities) and the Executive Vice President and Chief Legal Officer by managing the process by which the Company complies with its governance framework as well as federal and state licensure requirements.
PRIMARY ACCOUNTABILITIES
1. Directs licensure process, including compiling data to support various licensure applications, and submission of changes during licensure period; drafts and files responses to omission notices in a timely manner; tracks and monitors applications.
2. Prepares governance documents including Bylaws, Articles of Incorporation, and amendments for Health First Shared Services, Inc. and all affiliates; reviews proposed Bylaws to ensure internal consistency.
3. Prepares organizational documents, including, but not limited to articles of incorporation, amendments, dissolutions, and annual reports and timely files same with the Department of State, Division of Corporations.
4. Prepares and files fictitious name registrations and publishes notice of same as required by Florida Statutes for Health First Shared Services, Inc. and its affiliates.
5. Prepares agendas, notices, resolutions, and minutes for board and committee meetings of Health First Shared Services, Inc. and all its for and non-profit affiliates.
6. Collaborates with in-house executives, Board of Directors, administrators, outside counsel and State and Federal agencies, as necessary.
7. Loads materials to electronic Board portal for distribution to directors and senior management; maintains database of Board members’ contact information as well as board and committee terms.
8. Maintains corporate files for all Health First corporations and maintains database of Board members’ terms.
9. Prepares for and attends all meetings of the Board of Health First Shared Services, Inc., its subcommittees and the boards of subsidiary and related entities as assigned.
10. Performs legal research and keeps abreast of legal and regulatory changes.
11. Communicate and comply with federal, state, governing regulatory and Health First policies and procedures, including by not limited to, people and systems, to minimize risk.
12. Performs other duties as assigned by Executive Vice President, Chief Legal Officer.

MINIMUM QUALIFICATIONS
• Education: Juris Doctor.
• Certification: None
• Work Experience: Three (3) years’ progressive leadership experience and advancement within the legal environment.
• Work Experience in Related Field or in Lieu of Degree: N/A
• Knowledge/Skills/Abilities:
o Knowledge of court rules and procedures and Federal and state statutes and regulations applicable to the health care industry
o Demonstrated experience in document review and drafting
o Excellent organizational skills and strong attention to detail with the ability to handle multiple tasks simultaneously
o Superb oral and written communication skills with the ability to communicate effectively with individuals of all levels
o Exercise high level of discretion due to the nature of business matters conducted at the Board level and in the C-suite environment
