About the right team member

The Corporate Counsel – M&A and Commercial is a hard-working team player with at least 6 years of experience and the flexibility to work on both corporate and commercial matters for Mindbody + ClassPass.   On the corporate side, this could entail supporting M&A and other complex transactions, drafting and negotiating agreements, conducting due diligence, providing strategic legal guidance to support the company’s growth initiatives, and assisting with corporate governance, entity management, antitrust issues, and other corporate tasks. On the commercial side, this could include identifying and advising on legal risks, business strategies, drafting and negotiating a wide variety of contracts, reviewing marketing materials, researching the regulatory landscape, and providing general support for business transactions. The ideal candidate will have a strong background in corporate law, transaction structuring, and regulatory compliance, as well as exceptional communication and collaboration skills and the experience and flexibility to handle commercial matters. 

About the roleLead legal aspects of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions from inception to post-closing integration.  Draft, review, and negotiate definitive agreements, term sheets, nondisclosure agreements, and other related documents. Advise business teams on deal risks, regulatory considerations, and compliance matters, ensuring alignment with company objectives. Oversee any applicable regulatory and securities filings required for M&A transactions, including antitrust and SEC compliance. Work closely with internal teams, such as finance, human resources, and operations, to ensure smooth transaction execution and support finance and tax teams on broader legal issues. Engage and manage outside counsel as needed to supplement internal capabilities and ensure efficient use of resources. Develop and update internal policies, templates, and guidelines to streamline the M&A process. Provide legal support for integration activities, ensuring compliance with contractual obligations and successful operational alignment. Provide training and guidance to internal teams on M&A-related legal and compliance matters. Support on corporate governance matters and entity management. Draft, review, negotiate, and advise on commercial contracts for one or more ClassPass teams. Provide legal support for other departments and initiatives as required. Provide legal and strategic business advice to help develop a comprehensive, long-term approach to the commercial aspects of our products and programs. Interpret contract requirements, obligations and risk exposure and advise on same. Educate business partners on key commercial, legal, corporate policy  and other considerations. Facilitate the timely closure of business transactions while minimizing risk exposure. Review marketing materials and provide guidance on product requirements. Advise business teams in a variety of domestic and international locations Skills & experienceJ.D. degree and member in good standing in at least one U.S. state bar At least 6 years of relevant legal experience. In-house experience is a plus, ideally in the technology industry High degree of professional ethics and integrity Ability to drive cross-functional projects with attention to detail Strong business acumen and practical approach to legal challenges Demonstrated experience negotiating, drafting, and closing complex M&A transactions, including private equity deals, joint ventures, and strategic acquisitions Experience collaborating with business teams, executives and external advisors and counsel to ensure business needs are met Ability to clearly and effectively communicate complex legal points and concepts to a diverse array of internal stakeholders Ability to quickly learn new software applications and technologies and associated legal issues Pay transparency

Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to skill set, depth of experience, certifications, and specific work location.

The base salary range for this position in the United States is $161,300 - $201,700. The total compensation package for this position may also include performance bonus, stock, benefits and/or other applicable incentive compensation plans.
