Cvent, Inc. is seeking an in-house Corporate Counsel, Mergers & Acquisitions to join our Legal Department at our corporate headquarters located in Tysons Corner, VA. The successful candidate will have experience in corporate law and mergers and acquisitions and will provide legal advice and guidance to senior management and other stakeholders on various M&A, corporate, and corporate governance matters. In This Role, You Will: Providing legal advice and guidance on all aspects of the mergers and acquisitions process, or other corporate strategic transactions, including deal structuring, due diligence, supporting closings and post-closing integration. Draft, review and negotiate a wide range of transaction agreements, such as letters of intent, term sheets, confidentiality agreements, purchase agreements, and merger agreements. Working with internal clients (including corporate development, tax, and accounting) to identify issues, develop solutions, structure transactions and complete internal processes to sign and close acquisitions. Coordinating due diligence efforts, including reviewing documents and disclosure schedules. Support, implement and monitor post-closing actions (indemnification, earn-outs, post-closing adjustments, etc.). Assist with special corporate projects, including financing agreements and compliance. Develop and review corporate governance materials, including board resolutions, minutes and other materials. Assisting in the development and implementation of corporate governance and compliance policies and procedures. With the support of Legal Ops, oversee all corporate matters and corporate governance, including legal entity rationalization, and ensure corporate records management. Monitor and maintain awareness of pending regulations, legal developments, industry trends and best practices in corporate M&A law and share knowledge within the legal team and organization. Partner with finance, accounting, marketing and communications on a regular basis. Assist with a cross-functional effort to advance environmental, social and governance (ESG) matters. Provide support for other legal projects. Manage outside legal advisors on transactional matters. Here's What You Need: J.D. degree from an accredited, top tier law school Admission to a State Bar, and in good standing with the Bar association Minimum 5-7+ years’ experience as a corporate and M&A attorney, at a law firm or combination of law firm and in-house Strong knowledge of corporate laws and regulations and contract law related to M&A Expertise or knowledge of securities laws and regulations is preferred Excellent analytical and problem-solving skills, with the ability to provide practical, sound and effective legal advice Self-starter who understands executing with urgency, and the ability to comfortably work in a fast-paced environment; accuracy and attention to detail are essential requirements for this position Ability to work independently and as part of a team, and to manage multiple priorities and deadlines Strong business acumen and the ability to understand and align legal advice with business objectives Ability to communicate clearly, concisely and professionally with all levels of management regarding complex legal issues High integrity and an unyielding commitment to compliance Physical Demands We are not able to offer sponsorship for this position
