Corporate Counsel

Job Summary:

Works with business leads to manage client negotiations and contract drafting, and advises on commercial matters.

Responsibilities:

 

Drafts and negotiates commercial contracts and confidentiality agreements with customers.Advises business clients on commercial legal issues and risks, as well as resolve legal issues and contract interpretation matters.Works with business clients to identify, design, and implement processes and improvements for contract management.Develops, manages and maintains template agreements, contract playbooks and sales processes.Supports the broader organization on any agreements under executive consideration including: agreements with channel partners, vendors for materials and services, and others as required.Assists in managing corporate matters, including equity plan administration and board and shareholder affairs.Assists with and/or leads other projects and matters in areas which will include: privacy law, compliance issues in the US and abroad, information security, intellectual property, and other legal and regulatory issue.Ensures all sensitive and confidential information is handled appropriately.Handles labor, civil and criminal litigation which includes preparation of pleadings and personal appearance in court, quasi-judicial agencies and regulatory officesProvides legal opinion/guidance to the organization regarding labor and other legal concerns and liaise with the Human Resources Department on matters concerning the formulation, interpretation and implementation of various policies and the conduct of administrative investigationRenders legal support in connection with claims and actual/potential disputes involving the organizationPrepares and reviews vendor-related/commercial contracts and corporate legal documentation, identifies legal risks associated to such contracts or documents and suggests alternatives/solutionsUpdates the organization regarding revisions and changes on existing laws, rules and regulations and new compliance requirementsPerform other duties as required or assigned from time to time

 

Skills Requirements:

4 or more years of legal experience preferably in a corporate environment.Member of the Integrated Bar of the Philippines or equivalent and in good standing to practice law in the PhilippinesMinimum six (6) years of labor & litigation experience and corporate-related works from a reputable law firm or company (preferably with BPO experience)With relevant working experience in dealing with government agencies such as but not limited to the Department of Labor and Employment, National Privacy Commission, Philippine Economic Zone Authority, Local Governments Units.Knowledge in civil, labor, remedial lawsMust not have conflict of interest (no moonlighting)Able to travel to company’s sites nationwide whenever necessary and authorized

 

Education Requirements:

Juris Doctor (JD) degree required.


Physical Requirements:

Occasionally exert up to 10 lbs. of force to push, pull, lift or otherwise move objects. Have visual acuity to perform activities such as preparing and analyzing data; and/or viewing a computer terminal. Speak, type and/or sit for extended periods of time.
