In return, we'll help you build a career that you can feel passionate about. **Job Summary** As a remote **Corporate Counsel Attorney** for our **Legal team** , you will be providing Canadian legal assistance for cross functional and cross departmental projects and performing legal research on matters affecting the life science industry. In this role, primary **responsibilities** include: + Provide Canadian legal assistance for cross functional and cross departmental projects; + Manage, draft, review and negotiate, and advise on commercial transactions, including: + Commercial and Vendor contracts (e.g., non-disclosure agreements, supply and distribution agreements, master services agreements, statements of work, memoranda of understandings, letters of intent), across all business units; + Licensing agreements, consulting agreements and other corporate related agreements; + Collaborate with and support commercial contracts team and business development team in negotiation and execution of commercial agreements as well as assist in the evaluation of current agreements; + Assist and provide additional support to senior legal counsel and senior legal subject matter experts with respect to strategic commercial transactions, including licensing, co-development, co-marketing, partnership and other collaboration agreements; + Assist with Canadian regulatory and government relations matters; + Assist the paralegal staff with general legal matters and contract review; + Perform legal research, develop and give presentations on commercial law and transaction topics; + Perform all other related duties as assigned. **Key Elements** We are looking for the following minimum **qualifications** for this role: + Bachelor's degree (B.A. /B.S.) and Juris Doctor or equivalent from an accredited law school (LL.L, LL.B) or equivalent common law degree and licensed to practice law in at least one jurisdiction; + Minimum 3 years of related experience, preferably in a combination of mid-size or large law firm and corporate setting, with some international experience. + Member in good standing with the Bar, in any Canadian province, qualified to practice law; + Bilingual (French & English). + Ability to inspire trust and confidence through strong interpersonal skills and effective collaboration; + Ability to effectively manage multiple projects simultaneously; + Excellent communicator (both writing and presentation skills) with the ability to effectively communicate legal and compliance issues verbally and in writing in a clear and understandable manner to all levels of the organization; + Commitment to excellence and attention to detail, ability to work within a complex and fast-moving environment, to drive rigorous, fact-based recommendations to senior management. **Role Specific Information:** + Location: Remote; + Annual bonus based on performance; + Schedule: Monday-Friday, Day Schedule; + Permanent position as of the hiring, full-time 37.5hrs per week. **Why Charles River ?** + Competitive benefits as of the hiring.
