The position is a junior level position that will negotiate all manner of technology agreements as a junior attorney to our senior technology transaction attorney.  This role will constitute most of the counsel’s time (approximately 50%).  Additionally, the position will serve as the alternate plan administrator for the organization’s Data Incident Response Program (30%) which is responsible for the organization’s data incident response plan, managing data incidents, presenting to senior management and leading tabletop exercises and other internal presentations.  This position will also provide privacy and data security advice and counsel and allow someone the opportunity to grow their skill sets across multiple lines of privacy, data security, and technology transaction domains (20%).

What You’ll Do

Review, draft, and help internal stakeholders drive the completion of routine and complex technology agreements (e.g., hardware, software licenses, data licenses, and professional services), media content licenses, and data privacy deals in support of the Auto Club’s business operations 

Provide accurate, timely, and practical advice on matters pertaining to software licenses, software license audits, the use of open-source software, as well as internal policies and laws on data privacy 

Collaborate closely with legal and client teams across a broad spectrum of issues including procurement processes, negotiation strategy, intellectual property, privacy, cybersecurity, data use, content use, and data incident response 

Support data security projects and responsibilities including the development as an alternate plan administrator for the organization’s data incident response program   

Support the development and drafting of privacy notices and policies

Assist any of three Senior counsel on the Team on any matter of privacy, data security, intellectual property, financial and technology transaction issues

Support continuous improvement of Auto Club’s legal team by identifying and implementing new processes, contract templates, playbooks, and training materials, and collaborating with internal client teams to develop and implement a variety of company-wide, processes, and guidelines.

What You'll need

A J.D. degree from an ABA-approved law school, and an active member in good standing of the California Bar (or eligible to practice as a California registered in-house counsel)

At least 3 years’ experience as a technology transactions attorney with significant experience in software and data licensing transactions, as well as data privacy agreements, with a working knowledge of privacy, data security and/or intellectual property issues

Strong organizational, analytical, and communication skills to express complex legal matters in clear, concise, business-friendly language with a solid record of effective cross-group collaboration 

A passion for all things technology, privacy and data security including contracts, dealmaking and helping clients drive deals and work with software vendors.  A curious nature, and a desire to constantly improve processes and strategy with a positive, team oriented, can-do attitude is desired

The ability to recognize and weigh business and legal risks, think strategically and advance creative, sound practical solutions in the context of business goals and deadlines

Clear writer and tactful communicator

The ability to collaborate with the team and bring a positive can-do attitude to your work

The ability to deliver practical advice that the client can act on

Strong project management skills and the ability to effectively manage multiple projects simultaneously    

High level of skill using software tools like Microsoft Office, Word, and Teams, and Adobe Acrobat

The starting pay range for this position is:

$152,800.00 - $203,700.00

Additionally, for full time positions, you will be eligible to participate in our incentive program based upon the achievement of organization, team and personal performance.
