Role Description
The purpose of this role is to act as corporate governance manager to Allianz UK, managing corporate governance risk and providing commercially focused oversight, advice and support.
Key Responsibilities
Ensure that corporate governance legal and regulatory risks are appropriately identified, managed and reported. Provide assistance, guidance and training to key stakeholders in Allianz UK, in particular senior management, to enable them to meet their statutory and regulatory obligations for corporate governance risk management. Provide timely, accurate, relevant and succinct management information to the board and committees of Allianz UK to enable informed, efficient and transparent decision making. Draft and/or provide input into board and committee papers where required. Manage the production of key documents and reports to agreed timelines for presentation at relevant governance Committees. Maintain high standards of corporate governance assistance, actively improving processes and providing quality assurance as appropriate. Support and work collaboratively with the Head of Governance and the Chief Legal Officer and other members of the Legal & Corporate Governance team. Escalate and report on matters where appropriate to the Head of Governance and Chief Legal Officer. Build and maintain solid relationships with business partners and work collaboratively with the other assurance functions in discharging their responsibilities. Raise the level of awareness and understanding in the business of corporate governance issues, risks and mitigation while aligning with commercial priorities and objectives of the relevant business owners. Promote and represent the corporate governance team on management forums and project teams set up to address issues across Allianz UK. Where appropriate, instruct and manage external corporate governance advisers including managing the costs of such instruction. Keep own corporate governance and business knowledge up-to-date.
Essential Skills
Maintains knowledge of relevant laws and regulations, including Solvency II, FCA Handbook and PRA Rulebook and the Companies Act 2006. Ability to optimally manage a wide variety of work from operational to strategic. Highly developed interpersonal skills with the ability to work with and influence colleagues and senior management. Able to lead and promote the development of policies and systems and obtain business support and adherence to them. Excellent oral and written skills with the ability to summarise matters for internal stakeholders. Excellent drafting skills for written communications with attention to detail, especially board and committee papers and internal reporting such as the annual System of Governance report, whilst taking pride in well-drafted documents and communications. A sound working knowledge and understanding of the principles of good corporate governance and its importance to risk management and the prudent running of an organisation. Knowledge of relevant law, legislation and regulation concerning corporate governance in financial services. Strong commercial and strategic mind-set, with a track record of reacting and adapting to and implementing change at pace. Proven negotiating experience and relationship management skills.
Desirable Skills
Familiarity with corporate governance policies, procedures and systems e.g. Diligent, SharePoint. Experience of working in a complex organisation, in either financial services or insurance. Experience instructing and managing external advisers to obtain prompt, commercially-orientated and cost-effective advice.
Qualifications
Educated to degree level.
