Corporate Paralegal
Corporate Governance: Assist in the management of corporate records and compliance with corporate policies and procedures. Handle corporate filings, board and shareholder resolutions, and maintain subsidiary records. Contract Management: Draft, review, and manage a variety of corporate agreements, including non-disclosure agreements (NDAs), vendor contracts, and licensing agreements. Ensure timely execution and filing of contracts. Transactional Support: Assist with mergers and acquisitions, joint ventures, and other corporate transactions by conducting due diligence, preparing documents, and coordinating with internal and external teams. Compliance Management: Assist with monitoring and ensuring compliance with federal, state, and local regulations. Prepare and file compliance reports with regulatory bodies. Securities Filings: Help prepare and file required reports with regulatory agencies such as the SEC, including periodic reports. Cross-Functional Collaboration: Work closely with the Finance, Human Resources, and Operations teams to ensure the legal department’s role in key company processes, including corporate structuring, compliance, and contracts. Administrative Duties: Maintain legal databases, track legal filings, handle signature coordination, and manage electronic and paper document filing systems. Project Management: Lead and support legal projects and initiatives, ensuring timely delivery and adherence to company goals and compliance standards. Education: Bachelor’s degree in legal studies, business, or a related field; Paralegal certification required. Experience: Minimum of 3 years of corporate paralegal experience, preferably in an in-house legal team or law firm setting. Skills: - Expertise in corporate governance, contract management, and compliance. - Strong understanding of corporate transactions and securities filings. - Proficiency in legal research and corporate record-keeping. - Excellent communication skills and ability to work across departments. - High attention to detail, organizational skills, and ability to manage multiple projects simultaneously.
