Here’s What You Need

 Bachelors Degree in Business or Healthcare or related field discipline. Required. 7 years corporate, legal, or nonprofit governance experience, 2 years of which need to be in the healthcare industry, the experience also should include managing/drafting board minutes and resolutions. Required.

·         Paralegal degree/certificate/diploma. Preferred. 

What You Will Do

You will serve as the primary governance liaison to trustees and senior management of assigned entities. Attends assigned board and committee meetings of assigned entities held throughout North Texas, which may require travel outside of Texas Health headquarters, and drafts minutes for those meetings. Includes management of process from draft to signature, which entails tight deadline calendars and coordination of the minutes, review / approval process with attorneys and entity / committee senior leadership.

·         Manages accurate record keeping of meetings including coverage of key points, correct action items and attendance records.

·         Manages development and coordination of written consents for wholly controlled joint venture, affiliation and for-profit organizations boards/committees. Includes management of process from draft to signature, which involves coordination with System Leadership, as well as attorneys, and the Chief Governance Officer and/or Director, Governance Services.

·         Manages development, drafting, and coordination of resolutions for assigned wholly controlled, joint venture, affiliation and for-profit organizations boards/committees. Involves coordination with System leadership, as well as attorneys and the Chief Governance Officer and/or Director, Governance Services.

·         Oversees agenda packet preparation of all assigned wholly controlled, joint venture, affiliation and for-profit organizations boards/committees, with an eye towards regulatory, licensing, and accreditation requirements. This includes the implementation and deployment of standard board and committee meeting reports.

·         Manages the drafting and filing, as required, of all assigned wholly controlled, and managed joint venture, and affiliated organizations boards/committees, including certificates of formation, bylaws, periodic reports, assistance with committee charters and other matters as deemed necessary. Files assumed names and provides periodic reports for all Texas Health wholly controlled corporations and managed joint ventures.

·         Periodically with the Chief Governance Officer and General Counsel will dissolve corporations.

·         Oversees the Texas Secretary of State account for Texas Health and provides access, reporting, and support to Legal and other System Leaders. Updates officer information to the Texas Secretary of State, as needed. Works with V.P. Pharmacy Officer on applications and provides information necessary to meet Texas State Board of Pharmacy requirements and verifications.

·         Coordinates record management of all corporate records for assigned entities including but not limited to bylaws, minutes, resolutions, written consents, presentations (if necessary) with Chief Governance Officer and Director, Governance as well as with other stakeholders as necessary.

·         Responds to requests for information from numerous System leaders including Legal, Finance, Tax, Risk, Supply Chain, System executive leadership and hospital leaders.

·         Maintains organizational structure of all wholly controlled, joint venture, and affiliation organizations and all significant corporate relationships.
