Overview

As a member of Infrastructure team located in the centre of Amsterdam, you will be responsible for all aspects of corporate secretarial services for the Dutch portfolio investment entities. The position’s primary responsibilities will be supporting the Dutch board on legal matters for the portfolio entities of investments located in Europe.  In addition, the Corporate Secretary shall maintain appropriate corporate statutory records, review and/or prepare required resolutions and support the legal teams within OMERS and the finance team in Amsterdam.

As a member of this team, you will be responsible for:

•              Prepare, along with the Chairman, Board- and shareholder meetings, including the Preparation and delivery of board packs.

•              Prepare minutes for the Board- and General meetings including the decision-making register and action lists.

•              Review and/or prepare required resolutions to approve straightforward corporate actions (e.g. dividends, powers of attorney, shareholder loans, return of capital to shareholders).

•              Retain and maintain copies of board resolutions/minutes and shareholders resolutions/ minutes and powers of attorney and overseeing the accuracy and updating of the member- / shareholders registers for the entities in accordance with the respective Articles of Association and Dutch Civil Law.

•              Support the board on corporate governance and legal entity governance matters, ensuring that the correct procedures as required by law, the articles of association, or company rules are followed.

•              Assistance with setting up new entities, opening bank accounts (if necessary), registration with local Chamber of Commerce and other local compliance issues.

•              Assist the OMERS legal teams and the Amsterdam finance team in deal closing activities, re-financings, dispositions and any other transaction related matters.

•              Maintain soft copies of material correspondence, resolutions/minutes and all material agreements entered into by the Companies and overseeing that the originals of documentation will be kept at the offices.

•              Overseeing, by means of periodic meetings, that the documentation for each of the entities is properly stored in the (legal) documentation system.

•              Submit necessary filings and any required correspondence to the Dutch Chambers of Commerce (for example, special resolutions regarding liquidations and mergers, board changes, amendments to Articles of Association).

To succeed in this role, you have:

•              Relevant education with a minimum of 5 years relevant experience. Experience in investment finance and corporate governance is preferred.

•              Experience in complex organizational- and reporting structure.

•              Ability to demonstrate integrity under pressure and balance the requirements of various internal and external stakeholders.

•              Ability to multitask and work in a fast-paced team-oriented environment with proven ability to “get things done” under pressure.

•              Superior communication (both verbal and written in English and Dutch) and interpersonal skills.

•              Ability to change direction in response to unexpected events or circumstances.

•              Very strong Microsoft Office skills.
