As a Corporate Secretary, you will work with very senior individuals across the firm, and will be exposed to a variety of tasks including:
Day-to-day administration tasks for AIFM, funds and corporatesCoordination to schedule meetings (boards, shareholders meetings and committees)Coordination the preparation and review of meeting minutes and related documents such as Board packs, minutes, notarial deeds, and agreementsCoordination of jormalities (power of attorney, Managers/Directors change, apostilles)Coordination of incorporation, administration, and liquidation of companies including handling all kinds of corporate eventsCoordination of timely f iling of periodic company documentationMonitoring the legal good standing (RCSL/ RBE) of funds and related entitiesSupervising maintainance of accurate legal records and internal datab asesImplementing processes or systems to help ensure best practice management of the organisation or compliance with legislationCommunicating with external professionals involved in corporate governance for AIFM, funds and corporatesWe believe this represents an excellent opportunity for an enthusiastic, hard-working professional to develop their career and build up experience in a demanding but rewarding environment.
Ideally you will have the followingDegree educated (a degree in Law would be an advantage) or equivalentMinimum of 5 years of relevant working experience, not necessarily in a company secretary role, but within the Luxembourg fund industry (working with alternative investment funds would be considered as advantage)A good knowledge of the fund environment (regulated /unregulated)Strong Excel / PowerPoint / Word skills and an ability to quickly grasp new software skills quicklyWe are looking for people who demonstrate the following characteristicsStrong levels of attention to detailLike to take initiative, are curious and a have a desire to learnChallenge the status quo, ask whyTeam player, strong team mindset and a high degree of flexibilitySelf-Starter, proactive, manage busy deadlinesHave a confident approach and ability to communicate with clients and colleaguesFluency in English is an requirementHave an international mindsetNeuberger Berman is an equal opportunity/affirmative action employer.
