This position will provide legal advice and counsel on securities laws and reporting for a publicly traded company, ensuring ongoing compliance with all required filings with the U.S. Securities and Exchange Commission and the New York Stock Exchange.
This position will report to the Chief Securities Counsel and will work closely with senior management, the Corporate Secretary, Treasury, Finance, Investor Relations and other corporate functions and provide support for securities matters, financings, corporate governance, executive compensation, general corporate matters, investor relations and related reporting.
Duties and Responsibilities Advise on SEC and NYSE disclosure matters, including the preparation and review of SEC filings (e.g., Form 10-Ks, Form 10-Qs, Form 8-Ks, Section 16 reports, proxy statements and registration statements). Advise on and respond to 1933 Act, 1934 Act and NYSE compliance and shareholder matters and inquiries. Advise on and prepare for Annual Meeting of Shareholders. Advise on the administration of insider trading policy, Rule 10b5-1 trading plans, and related matters. Provide legal advice on investor communications, investor relations and ESG materials, and related matters. Advise on corporate governance matters, trends and best practices. Responsible for debt and equity financings. Advise on executive compensation matters. Knowledge, Skills and Abilities Demonstrated technical legal skills and expertise, including knowledge of federal securities laws and disclosure requirements, NYSE requirements, and state regulations regarding corporations, partnerships and general corporate matters. Strong judgment and decision-making skills, with proficiency in making business-oriented recommendations. Strong interpersonal, communication, drafting, analytical and negotiation skills, including the ability to interact with stakeholders at all levels, including senior management and the Board of Directors. Candidate should have a minimum of five years legal experience at a top tier law firm or as in-house counsel preparing and reviewing SEC filings and working on commercial and financings transactions. Education and Experience Juris Doctor (J.D.) from an accredited law school Active membership in good standing with at least one state bar (Pennsylvania bar preferred but not required) 5-10 years of relevant experience in corporate and securities law, preferably with experience in both law firm and in-house environments Experience with public company securities compliance and corporate governanceAll offers of employment are contingent upon the successful completion of a background check and drug screen, subject to applicable laws and regulations.
