Position Summary:

The AES Clean Energy Ethics & Compliance Counsel supports the implementation and operation of the Ethics & Compliance Program at AES’ Clean Energy business. The Ethics & Compliance Counsel ensures compliance with all relevant and applicable laws and regulations, including applicable anti-corruption, economic sanctions, and anti-money laundering laws, in a manner that supports the business operations and development objectives. The Ethics & Compliance Counsel will promote a culture of integrity and ethical decision-making throughout the organization. The Ethics & Compliance Counsel will also provide written recommendations regarding the effectiveness and efficiency of the control systems of the Company as well as review and implement of any remedial actions. The Ethics & Compliance Counsel will report to the AES U.S. Ethics & Compliance Officer based in Salt Lake City and will work with a team of Compliance Managers in the United States.

Primary Responsibilities:

· Educate and train employees on ethics and compliance issues, including regulations and policies related to anti-corruption, conflicts of interest, gifts and entertainment, charitable contributions and political donations, workplace harassment, and other business and compliance risks.

· Perform due diligence on third-party business partners, services providers, joint venture partners, and acquisition targets and advise U.S. business units on third-party risks and mitigation strategies.

· Review contract terms and conditions and advise on appropriate representations and covenants for identified compliance risks.

· Recommend corrective action including personnel, procedures, training, and policy.

· Assist in the investigation of regulatory complaints.

· Provide guidance to internal stakeholders.

· Assist in the review of internal processes and development of compliance strategy.

· Develop new training materials.

· Write or assist in the writing and approval of policies and procedures.

· Keep abreast of state and regulatory requirements and changes.

· · Other responsibilities as assigned.

· Collaborate with internal stakeholders, including Legal, Internal Audit, Human Resources, Environmental Health & Safety, and Controller, to ensure timely resolution of issues and mitigation of risk.

· Support Compliance Officer with ongoing projects.

Education, Qualifications and Expertise:

· Juris Doctor or similar legal degree from an accredited law school with excellent academic credentials.

· Active bar membership in good standing in at least one U.S. jurisdiction.

· 2-3 years of compliance experience in a similar in-house role, law firm, or external audit firm.

· Knowledge of the requirements of U.S. anti-bribery, anti-money laundering, sanctions, and international trade regulations.

· Experience conducting Compliance risk assessments and assessments of Ethics & Compliance programs.

· Strong writing, presentation, communication and interpersonal skills.

· Demonstrated ability to be proactive, manage multiple projects simultaneously, and work independently.

· Sound and independent judgment in complex and sensitive cases.

· Ability to communicate effectively and with structured thinking, in writing and verbally, with U.S. business leaders and the global AES Ethics & Compliance team.

· Ability to network and create strong working relationships across the organization.

· Demonstrated ability to be proactive, manage multiple projects simultaneously, think creatively, work independently, and prioritize work.

· Team oriented.

· Experience in the Energy Industry is a plus.

Working Conditions:

· The U.S Ethics and Compliance Counsel will be located at the AES Clean Energy’s hub in Salt Lake City, Utah.

· Occasional domestic travel will be required.
