About this RoleFocus on various transactional matters and legal negotiation and documentation (including with respect to joint ventures, investments and other strategic matters), along with participation in general corporate matters, including corporate finance transactions and subsidiary administration.
What You'll Do Assist with document preparation as required in connection with primarily domestic and some international business transactionsPrepare drafts of a wide variety of transactional documents, including confidentiality agreements, letters of intent, guarantees, consulting agreements, master services agreements.Prepare joint venture and other strategic transaction documents, including memoranda of understanding, shareholders agreements, teaming/joint development agreements and relevant charter documentsCollaborate closely with relevant business units and other functional support departments, such as Risk Management, Treasury, Tax, Accounting and Human Resources in connection with business transactionsSupport transactional due diligence, including any corporate level or document reviewPerforming other related duties as assigned What You'll Bring J.D. with an excellent academic record. Three to four years of experience in a top law firm.Transactional experience required.Must be team oriented and have the ability to think creatively in resolving business and legal issues.Hardworking, service oriented, and self-starter with excellent communication skills.
