Function: Provides guidance and support on legal matters related to securities law, corporate governance, commercial and consumer banking and related compliance issues at the direction of the Bank’s General Counsel to employees, shareholders, and customers.  

Duties and Responsibilities:

Provide legal advice and support on commercial and consumer banking matters, including regulatory compliance and risk management.Advise on securities law matters, including the preparation and filing of all securities reports with the Securities and Exchange Commission (SEC), and with corporate governance matters. Ensure compliance with stock exchange listing requirements and assist in the review of earnings releases, investor presentations, and other similar materials.Collaborate with the ESG working group to assist in sustainability reporting and other ESG-related matters.Conduct legal research on relevant regulatory and legal issues and provide guidance to internal stakeholders.Collaborate with business teams and legal/compliance colleagues and other control functions to address and resolve complex issues, develop policies, procedures, and training materials to advance the business objectives in a compliant manner.Review, negotiate, and draft vendor agreements, commercial and consumer contracts, and other legal documents.Assist in handling and responding to writs, subpoenas, and other legal requests as needed.Other duties as assigned.

Education

Juris Doctorate from an ABA accredited law school with three to seven plus years of experience with either a U.S. law firm and/or in-house legal department with a focus on banking transactions and related matters.

Active member in good standing with the state bar association of a footprint state of the Bank (i.e., Pennsylvania, Ohio, New York) or, if licensed in another state, able to qualify for admission in a footprint state of the Bank within 180 days of employment.

Experience

Three to seven years’ experience in the legal field with a three to seven years’ specialization of financial services experience preferred.

Physical Demands

Requires the use of manual dexterity skills for typing and data entry for a period of up to 60% of the business day.  Specific vision requirements include close vision of 18”-20” for computer work.  Must be able to lift, move, and/or carry up to 20lbs.  Reasonable accommodations may be made to enable individuals with disabilities to perform essential functions.

Salary Range:

$65,000.00 - $140,000.00
