PURPOSE:

Reporting to UNFI’s Senior Counsel, Corporate & Strategic Transactions, this position will support the Corporate & Strategic Transactions and Security & Governance Teams within the UNFI Legal Department by drafting, reviewing, and negotiating commercial/vendor agreements supporting UNFI’s business operations, as well as assisting with securities and corporate governance matters.


ESSENTIAL FUNCTIONS:

Job Responsibilities

Percentage

Draft, review, and negotiate commercial/vendor agreements in support of UNFI’s business operations, including service agreements, supply agreements, amendments, and statements of work relating to services, transportation, logistics, and goods not for resale; support the rollout of standardized vendor agreement templates across the organization

Assist with securities and corporate governance matters, including ’33 Act and ‘34 Act compliance, preparation of board meeting agendas/materials, maintenance of corporate documents and records, managing the annual D&O questionnaire process and supporting with the annual investor engagement program.

Advise business clients (including senior management) on a day-to-day basis on contract status and other contract-related matters.

Conduct training to support company contracting practices, policies, and initiatives.

Assist with other legal and compliance matters, as needed.

JOB REQUIREMENTS:Education/ Certifications/or Equivalent combination of education training and experience:

·       J.D. degree or equivalent

·       Membership in good standing with a state bar and the ability to register as in-house counsel pursuant to the applicable state rules.

Experience:

·       Minimum 5 years’ experience in a law firm or corporate legal department, including experience with corporate law and drafting/negotiating commercial contracts.

·       Securities and corporate governance experience a plus.

Knowledge/ Skills/ Abilities:

·       Detail and process oriented.

·       Strong organizational skills.

·       Strong interpersonal, communication, and negotiating skills.

·       Ability to work independently and collaboratively in a fast-paced environment.

·       Ability to manage multiple projects simultaneously.

 ·      Ability to interact with all levels of management/senior leadership.

      ·     Good judgment is required for this position as there may be times when direct supervision may not be immediately available.

·       Incumbent may use calculators, keyboards, telephones and other office equipment in the course of normal workday.

·       Stooping, bending, twisting and reaching may be required in completion of job duties.

UNFI anticipates paying the above-referenced pay rate (or within the above-referenced pay range) for this position. Actual Pay, where applicable, will depend on a number of factors, including, but not limited to, education, experience, training, and any requirements under applicable collective bargaining agreements. Sales Positions Only: For sales positions that are commission-based, the above range is an estimate of total potential commission-based compensation during an associate’s first year, but UNFI offers an introductory period minimum of $680 per week. After the introductory period, as a 100% commission-based role, there is no set salary. UNFI’s commission plans are uncapped and average earnings vary depending on territory and sales achieved, among other factors.
